<br /> This First Amendment to the Agreement betty eNhe City of Sunny Isles Beach and
<br /> KEEFE, McCULLOUGH & COL, LLP, executed this' day of September, 2013, is made a
<br /> part of the original Agreement between the parties dated October 28, 2010, ("the Agreement")
<br /> between the City of Sunny Isles Beach ("City") and KEEFE, McCULLOUGH & COL, LLP,
<br /> ("Consultant") attached hereto as Attachment "A", whose Federal Identification # is
<br /> SI. /3,51f - . The City and Consultant hereby agree as follows:
<br /> 1. OPTION TO RENEW: The City hereby exercises its first optional one(1)year renewal
<br /> term for the period ending October 1, 2014, in accordance with Section 1.2. (A) of Request for
<br /> Proposal No. 10-06-01 ("Professional Auditing Services") incorporated by reference into the
<br /> Agreement, in an amount to exceed Forty-Five Thousand Dollars($45,000.00).
<br /> 2. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically modified
<br /> herein, all terms and conditions of the original Agreement between the parties, dated October 28,
<br /> 2010 shall remain in full force and effect.
<br /> 3. CONFLICTING PROVISIONS. The terms and conditions in this First Amendment
<br /> supersede any other conflicting provisions that are contained in any other document, including
<br /> but not limited to Attachments "A", attached hereto. If there is a conflict or inconsistency
<br /> between any term, statement, requirement, or provision of any exhibit or attachment attached
<br /> hereto, including but not limited to Attachments "A", or any document or events referred to
<br /> herein, and a term, statement, requirement or provision of this First Amendment, the term,
<br /> statement, requirement, or provision contained in this First Amendment shall prevail and be
<br /> given superior effect and priority.
