C1314 -016 THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement ") is made in duplicate, this _ e day of January, 2014, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City "), and COOL - BREEZE AIR CONDITIONING CORPORATION, a corporation authorized to do business in the State of Florida (hereinafter referred to as "Contractor ") whose Federal I.D. # is RECITALS WHEREAS, the City is in need of a contractor to replace the chiller compressor ( "Services "), as more particularly described in Invitation to Bid No. 13- 12 -02, which is incorporated herein by reference; and WHEREAS, the City advertised Invitation to Bid No. 13 -12 -02 and the Contractor submitted a bid in response thereto, a copy of which is attached hereto as Attachment "A" and made a part hereof; and WHEREAS, the Contractor is qualified, willing and able to provide the Services on the terms and conditions set forth herein; and WHEREAS, the City desires to enter into this Agreement with Contractor to provide the Services in a total amount not to exceed Thirty Three Thousand Nine Hundred Fifty Dollars ($33,950.00). NOW THEREFORE, in consideration of the foregoing and for the mutual covenants, representations and warranties and other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows: 1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. 2. SERVICES. Contractor shall provide maintenance, remove the existing compressor and install a new compressor, as more particularly described in Invitation to Bid No. 13 -12 -02 and Attachment "A" attached hereto and made a part hereof. 3. TERM. Subject to the provisions relating to the termination of this Agreement as set forth in Section 9 hereunder, this Agreement shall commence from the issuance of a Notice to Proceed from the City Manager or his designee and shall terminate upon the completion of Services. Payment will be made only for work completed to the satisfaction of the City. Contractor is to commence performance of work on the Commencement Date and continue in a diligent manner until work is complete. Contractor acknowledges that compliance with the commencement and completion schedule is the essence of this Agreement. The terms of Sections 19 and 20 entitled "Indemnification and Waiver of Liability" and "Compliance with Law" respectively, shall survive termination of this Agreement.
