FIFTH AMENDMENT TO THE AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH AND PERKINS & WILL ARCHITECTS INC. CONTRACT NO. C1415-087 This Fifth Amendment to the Agreement between the CITY OF SUNNY ISLES BEACH ("C' y") and E INS & WILL ARCHITECTS, INC. ("Architect"), executed this day of 4, 2020 is made a part of the original Agreement between the parties dated August 21, 2015, as amended, Contract No. 01415-087 (the "Agreement"), and the City and the Architect hereby agree to amend the Agreement as follows: 1. ADDITIONAL SERVICES. Pursuant to Section 1.3 of the Agreement, the City hereby wishes to amend Article 3 of the Agreement ("Architect's Basic Services") to include the services of Thornton Tomassetti, to provide structural analysis and supporting documentation for Construction Sequence Engineering, as requested by the Florida Department of Transportation ("FDOT"); to provide the precast concrete attachment details as part of the construction documents; to engage GFRC manufacture, Building Blocks, for design assist to develop the basis of design for the precast panel attachment details and performance specifications; and to provide design assist to further define the GFRC design to optimize fabrication, constructability and cost efficiencies, as requested by FDOT; all as more particularly described in composite Exhibit "A", which is attached hereto and incorporated herein by reference. 2. ADDITIONAL COMPENSATION. Article 2 of the Agreement is hereby amended to include additional compensation for the Additional Services in an amount. not to exceed Ninety -Nine Thousand Nine Hundred Dollars ($99,900.00), bringing the total contract amount not to exceed Three Million One Hundred Fifty -Five Thousand Fifty Dollars ($3,155,050.00). 3. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically modified herein, all terms and conditions of the Agreement, as amended, shall remain in fill) force and effect. 4. CONFLICTING PROVISIONS. The terms, requirements, and provisions contained in this Fifth Amendment shall prevail and be given superior effect and priority over any conflicting or inconsistent term, statement, requirement, or provision contained in any other document or attachment, including but not limited to the Agreement.
