OSU NNY i"F,d <br />_ v <br />AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH <br />SF/99�FLOPOP44P AND GRAVOIS ALUMINUM BOATS LLC d/b/a METAL SHARK <br />° r> of SUN PHO CONTRACT NO. 2022-7799 <br />THIS CONTRAC YAL AGREEMENT (hereinafter referred to as the "Agreement") is <br />made in duplicate, this V day of 2022, by and between the CITY OF SUNNY ISLES <br />BEACH, Florida, (hereinafter referred to as "City"), and GRAVOIS ALUMINUM BOATS <br />LLC d/b/a METAL SHARK, a foreign limited liability company authorized to do business in <br />the State of Florida (hereinafter referred to as "Contractor") whose Federal I.D. # is 72-1308785. <br />RECITALS <br />WHEREAS, the City of Sunny Isles Beach is in need of a Contractor to build a police <br />boat to be used by the Sunny Isles Police Department ("Services"); and <br />WHEREAS, Contractor is a certified and insured company with the necessary experience <br />to provide the desired Services; and <br />WHEREAS, Contractor builds and sells boats to governmental agencies throughout the <br />State of Florida including but not limited to the Florida Fish and Wildlife Commission and <br />Sheriffs Offices through the GSA MAS Contract, Contract Number GS -07F -0362T; and <br />WHEREAS, Contractor's term under the GSA MAS Contract began on May 4, 2017 and <br />terminates on May 3, 2027; and <br />WHEREAS, the City desires to enter into an agreement with Contractor, primarily using <br />the GSA MAS Contract as described in Attachment "A", attached hereto and made part hereof, <br />subject to the terms and conditions contained herein; and <br />WHEREAS, pursuant to the City's procurement code provisions, purchases made under <br />state, county or other governmental contracts, or competitive bids with other entities are exempt <br />from the City's competitive bidding procedures; and <br />WHEREAS, although most of the components for the police boat will be purchased at the <br />rates set forth in the GSA MAS Contract, pursuant to Section 62-12 of the City Code, the City <br />desires to waive competitive bidding procedures to purchase custom parts that are not in the GSA <br />contract totaling Eight Thousand Eleven Dollars and Forty Cents ($8,011.40) needed to <br />manufacture the boat; and <br />WHEREAS, pursuant to Section 62-12 of the City Code, City Administration conducted <br />a good faith review of available sources and negotiation as to price, delivery and terms for said <br />parts; and <br />WHEREAS, the City wishes to contract with Contractor to provide the desired Services <br />as more particularly described in Attachment `B" in an amount not to exceed Three Hundred Ten <br />Thousand Six Hundred Seventy -Seven Dollars and Thirty -Nine Cents ($310,677.39). <br />NOW THEREFORE, in consideration of the promises and the mutual covenants herein <br />name, the parties agree as follows: <br />GRAVOIS ALUMINUM BOATS LLC d/b/a METAL SHARK <br />147 <br />
