OSU NNY i"F,d _ v AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH SF/99�FLOPOP44P AND GRAVOIS ALUMINUM BOATS LLC d/b/a METAL SHARK ° r> of SUN PHO CONTRACT NO. 2022-7799 THIS CONTRAC YAL AGREEMENT (hereinafter referred to as the "Agreement") is made in duplicate, this V day of 2022, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City"), and GRAVOIS ALUMINUM BOATS LLC d/b/a METAL SHARK, a foreign limited liability company authorized to do business in the State of Florida (hereinafter referred to as "Contractor") whose Federal I.D. # is 72-1308785. RECITALS WHEREAS, the City of Sunny Isles Beach is in need of a Contractor to build a police boat to be used by the Sunny Isles Police Department ("Services"); and WHEREAS, Contractor is a certified and insured company with the necessary experience to provide the desired Services; and WHEREAS, Contractor builds and sells boats to governmental agencies throughout the State of Florida including but not limited to the Florida Fish and Wildlife Commission and Sheriffs Offices through the GSA MAS Contract, Contract Number GS -07F -0362T; and WHEREAS, Contractor's term under the GSA MAS Contract began on May 4, 2017 and terminates on May 3, 2027; and WHEREAS, the City desires to enter into an agreement with Contractor, primarily using the GSA MAS Contract as described in Attachment "A", attached hereto and made part hereof, subject to the terms and conditions contained herein; and WHEREAS, pursuant to the City's procurement code provisions, purchases made under state, county or other governmental contracts, or competitive bids with other entities are exempt from the City's competitive bidding procedures; and WHEREAS, although most of the components for the police boat will be purchased at the rates set forth in the GSA MAS Contract, pursuant to Section 62-12 of the City Code, the City desires to waive competitive bidding procedures to purchase custom parts that are not in the GSA contract totaling Eight Thousand Eleven Dollars and Forty Cents ($8,011.40) needed to manufacture the boat; and WHEREAS, pursuant to Section 62-12 of the City Code, City Administration conducted a good faith review of available sources and negotiation as to price, delivery and terms for said parts; and WHEREAS, the City wishes to contract with Contractor to provide the desired Services as more particularly described in Attachment `B" in an amount not to exceed Three Hundred Ten Thousand Six Hundred Seventy -Seven Dollars and Thirty -Nine Cents ($310,677.39).
