or profit, arising out or connected with the use of the software products described in this Agreement, as noted in Section XVIII, subparagraph A, below. This indemnity will survive the cancellation or expiration of this Agreement. This indemnity will be interpreted under and construed to conform to the laws of the State of Florida. Vigilant shall require all sub-contractor(s) performing services under this Agreement indemnify, defend and hold harmless Affiliate to the extent caused by, or alleged to have been caused by, the negligence, recklessness or wrongful misconduct of the subcontractor and/or persons employed or utilized by subcontractor in the performance of any services under this Agreement. XV. Insurance. Vigilant shall, at its sole cost and expense, during the period of any services being performed under this Agreement, procure and maintain the following minimum insurance coverages to protect Affiliate and Vigilant against all loss, claims, damage and liabilities caused by Vigilant, its agents, contractors or employees, as more particularly set forth below: (a) Commercial General liability insurance with limits of One Million Dollars ($1.,000,000) combined single limit occurrence. Coverage must be afforded on a form no more restrictive than the latest edition of the Comprehensive General Liability Policy, without restrictive endorsements, as filed by the Insurance Services Office, and must include: ■ Premises and/or Operations. ■ Independent Contractors. ■ Broad Form Property Damage. ■ Broad Form Contractual Coverage applicable to this specific Agreement. ■ Personal Injury Coverage with Employee and Contractual Exclusions removed with minimum limits of coverage equal to those required for Bodily injury Liability and Property Damage Liability. ■ Affiliate is to be named as an additional insured with respect to liability arising out of operations performed for Affiliate by or on Vigilant Solutions Enterprise License Agreement Pa_Le 12
