(h)Notices. <br />(i)The Borrower shall, within fifteen (15) days after the Borrower <br />learns of the occurrence, give the WIFIA Lender notice of any of the following events or <br />receipt of any of the following notices, as applicable, setting forth details of such event: <br />(A)Substantial Completion: the occurrence of Substantial <br />Completion, such notice to be provided in the form set forth in Exhibit J (Form of Certificate of <br />Substantial Completion); <br />(B)Defaults; Events of Default: any Default or Event of <br />Default; <br />(C)Litigation: (1) the filing of any litigation, suit or action, or <br />the commencement of any proceeding, against the Borrower before any arbitrator, Governmental <br />Authority, alternative dispute resolution body, or other neutral third-party, or the receipt by the <br />Borrower in writing of any threat of litigation, suit, action, or proceeding, or of any written claim <br />against the Borrower that, in each case, could reasonably be expected to have a Material Adverse <br />Effect, and any material changes in the status of such litigation, suit, action or claim, and (2) any <br />judgments against the Borrower with award amounts in excess of $4,000,000, either individually <br />or in the aggregate; <br />(D)Delayed Governmental Approvals: any failure to receive or <br />delay in receiving any Governmental Approval or making any required filing, notice, recordation <br />or other demonstration to or with a Governmental Authority, in each case to the extent such failure <br />or delay will or could reasonably be expected to result in a delay to any major milestone date <br />(including the Projected Substantial Completion Date) set forth in the Construction Schedule, <br />together with a written explanation of the reasons for such failure or delay and the Borrower’s <br />plans to remedy or mitigate the effects of such failure or delay; <br />(E)Environmental Notices: any material notice of violation or <br />material change in finding under any Environmental Law related to the Project or any material <br />changes to the NEPA Determination; <br />(F)Amendments: any material amendment of any Related <br />Document, subject to Section 16(j) (Reporting Requirements – Amendments); provided that, if <br />applicable, such notice can be accomplished through the posting of the relevant document on <br />EMMA; <br />(G)Related Document Defaults: any material breach or default <br />or event of default on the part of the Borrower or any other party under any Related Document; <br />provided that such notice can be accomplished through the posting of the relevant documents on <br />EMMA; <br />(H)Uncontrollable Force: the occurrence of any Uncontrollable <br />Force that could reasonably be expected to materially and adversely affect the Project; <br />48 <br /> <br />
