) is complete, fully executed and in <br />) and no change has occurred since the date of the most recently <br />EXHIBIT D-5 <br />Conditions Precedent – Conditions Precedent to Disbursements <br />Reporting Requirements – Construction Reporting <br />As of the date hereof and on the Disbursement Date (immediately after giving effect to the above-requested disbursement of WIFIA Loan proceeds), (i) no Default or Event of Default and <br /> (ii) no event of default under any other Related Document and no event that, with the giving of notice or the passage of time or both, would constitute an event of default under any <br /> Related Document, in each case, has occurred and is continuing. No Material Adverse Effect, or any event or condition that could reasonably be expected to have a Material Adverse Effect, <br /> has occurred or arisen since the Effective Date. The Borrower, and each of its contractors and subcontractors at all tiers with respect to the Project, has complied with all applicable <br /> laws, rules, regulations and requirements, including without limitation 40 U.S.C. §§ 3141–3144, 3146, and 3147 (relating to Davis-Bacon Act requirements) (and regulations relating thereto) <br /> and 33 U.S.C. § 3914 (relating to American iron and steel products). Supporting documentation, such as certified payroll records and certifications for all iron and steel products used <br /> for the Project, are being maintained and are available for review upon request by the WIFIA Lender. The representations and warranties of the Borrower set forth in the WIFIA Loan Agreement <br /> and in each other Related Document are true and correct as of the date hereof and as of the Disbursement Date, except to the extent such representations and warranties expressly relate <br /> to an earlier date (in which case, such representations and warranties shall be true and correct as of such earlier date). Each Bond Authorization Document and Principal Project Contract <br /> that has been delivered by the Borrower to the WIFIA Lender pursuant to Section 11(b) (full force and effect. The current estimated percentage of physical completion of the Project <br /> is \[___\]%. The Borrower is in compliance with Section 16(d) (delivered quarterly construction progress report that could reasonably be expected to cause a Material Adverse Effect. <br /> All documentation evidencing the Eligible Project Costs to be reimbursed to the Borrower by the above-requested disbursement has been delivered by the Borrower to the WIFIA Lender at <br /> the times and in the manner specified by the WIFIA Loan Agreement, including the details set forth \[in the attachment hereto, which is in form satisfactory to the WIFIA Lender\]\[below: <br /> <br />15.16.17.18.19.20. <br /> <br />
