EXHIBIT E <br />FORM OF NON-LOBBYING CERTIFICATE <br />The undersigned, on behalf of the CITY OF NORTH MIAMI BEACH (the “Borrower”), <br />hereby certifies, to the best of his or her knowledge and belief, that: <br />(a)No Federal appropriated funds have been paid or will be paid, by or on behalf of <br />the Borrower, to any person for influencing or attempting to influence an officer or employee of <br />an agency, a Member of Congress, an officer or employee of Congress, or an employee of a <br />Member of Congress in connection with the making of the WIFIA Loan. <br />(b)If any funds other than proceeds of the WIFIA Loan have been paid or will be paid <br />to any person for influencing or attempting to influence an officer or employee of any agency, a <br />Member of Congress, an officer or employee of Congress, or an employee of a Member of <br />Congress in connection with the WIFIA Loan, the Borrower shall complete and submit Standard <br />Form-LLL, “Disclosure Form to Report Lobbying,” in accordance with its instructions. <br />(c)The Borrower shall require that the language of this certification be included in the <br />award documents for all subawards at all tiers (including subcontracts, subgrants, and contracts <br />under grants, loans, and cooperative agreements) and that all subrecipients shall certify and <br />disclose accordingly. <br />Capitalized terms used in the certificate and not defined shall have the respective meanings <br />ascribed to such terms in the WIFIA Loan Agreement, dated as of June 25, 2020 (the “WIFIA <br />Loan Agreement”), by and between the United States Environmental Protection Agency, acting <br />by and through the Administrator (the “WIFIA Lender”), and the Borrower, as the same may be <br />amended from time to time. <br />This certification is a material representation of fact upon which reliance was placed when the <br />WIFIA Lender entered into the WIFIA Loan Agreement. Submission of this certification is a <br />prerequisite to the effectiveness of the WIFIA Loan Agreement imposed by section 1352, title 31, <br />U.S. Code.
