(n)pursuant to Section 11(a)(x) of the WIFIA Loan Agreement, none of the rating <br />letters delivered to the WIFIA Lender pursuant to such Section 11(a)(ix) has been <br />reduced, withdrawn or suspended as of the Effective Date; <br />(o)pursuant to Section 11(a)(x) of the WIFIA Loan Agreement, the Borrower has <br />delivered to the WIFIA Lender the Base Case Financial Model, which (i) <br />demonstrates that projected System Revenues are sufficient to meet the Loan <br />Amortization Schedule, (ii) demonstrates compliance with the Rate Covenant for <br />each Borrower Fiscal Year through the Final Maturity Date, (iii) reflects principal <br />amortization and interest payment schedules acceptable to the WIFIA Lender, (iv) <br />demonstrates that the Borrower has developed, and identified adequate revenues to <br />implement, a plan for operating, maintaining and repairing the Project over its <br />useful life and (v) otherwise meets the requirements of such Section 11(a)(x); <br />(p)pursuant to Section 11(a)(xi) of the WIFIA Loan Agreement, attached hereto as <br />Annex \[C\] are certificates of insurance, and such insurance certificate is true and <br />correct and demonstrates compliance with the requirements of Section 14(f) <br />(Affirmative Covenants – Insurance) of the WIFIA Loan Agreement; and <br />(q)pursuant to Section 11(a)(xv) of the WIFIA Loan Agreement, no performance <br />security instrument is required to be delivered to or by the Borrower pursuant to <br />any Principal Project Contract as of the Effective Date. <br />IN WITNESS WHEREOF, the undersigned has executed this certificate as of the date first <br />mentioned above. <br />CITY OF NORTH MIAMI BEACH, <br />by its authorized representative <br />By: _______________________________ <br /> Name: <br /> Title: <br />EXHIBIT I-3 <br /> <br />
