C1415-032 THIS EIGHTH AMENDMENT TO THE AGREEMENT between the CITY OF SUNNY ISLES BEACH ("City") and HPF ASSOCIATES, INC., whose Federal ID No. is 45- 2570350 ("Consultant"), effective as of the 1st day of December, 2023, is made a part of the original Agreement between the parties dated February 24, 2015, Contract No. C1415-032, (the "Agreement"), attached hereto as Attachment "A." City and Consultant hereby agree to amend the Agreement as follows: 1. ADDITIONAL COMPENSATION. The payment to the Consultant, as set forth in Section 4 of the Agreement is hereby amended to include additional compensation in an amount not to exceed Four Hundred Twenty -Six Thousand Four Hundred Fifty -Nine Dollars and Sixty - Nine Cents ($426,459.69) for continuing management/capital projects consulting, as more particularly described in Attachment "A" to the original Agreement and pursuant to the fee schedule contained therein, which is attached hereto and incorporated herein by reference. The foregoing Four Hundred Twenty -Six Thousand Four Hundred Fifty -Nine Dollars and Sixty -Nine Cents ($426,459.69) consists of an additional amount of Three Hundred Thirty Thousand Dollars and No Cents ($330,000.00), and a previously expended amount of Ninety -Six Thousand Four Hundred Fifty -Nine Dollars and Sixty -Nine Cents ($96,459.69). This Eighth Amendment brings the total not -to -exceed contract amount to Two Million Three Hundred Thirty -Two Thousand Thirty -Nine Dollars and Sixty -Nine Cents ($2,332,039.69). If this Agreement is terminated by the City, Consultant shall receive payment for services rendered up to the date of termination. 2. OTHER PROVISIONS REMAIN IN EFFECT. Except as specifically modified herein, all terms and conditions of the Agreement shall remain in full force and effect. 3. CONFLICTING PROVISIONS. The terms, requirements, and provisions contained in this Eighth Amendment shall prevail and be given superior effect and priority over any conflicting or inconsistent term, statement, requirement, or provision contained in any other document or attachment, including but not limited to Attachment "A."
