<br />PROFESSIONAL SERVICES AGREEMENT
<br />"AGREEMENT"
<br />January 19th, 2024
<br />This AGREEMENT made this 19thday of January 2024, between RedSpeed Florida LLC, a
<br />Florida Limited Liability Company authorized to transact business in the State of Florida as RedSpeed
<br />Florida LLC, (herein "REDSPEED"), with its principal place of business at 400 Eisenhower Lane North,
<br />Lombard IL 60148, and the City of Sunny Isles Beach, a Florida municipal corporation (herein
<br />"Customer"), with principal offices at 18070 Collins Ave 3rd floor, Sunny Isles Beach, FL 33160.
<br />WITNESSETH:
<br />WHEREAS RedSpeed has the exclusive knowledge, possession and ownership of certain
<br />equipment, licenses, and processes referred to collectively as the "Intersection Photo Enforcement
<br />System" (herein "IPE System"), and
<br />WHEREAS, Customer desires to use the IPE System to monitor and enforce red light
<br />violations, and may in the future, desire to monitor and enforce traffic speed or other traffic
<br />movements and to issue citations for traffic violations; and
<br />WHEREAS, on or about May 13, 2010, the Governor of the state of Florida signed
<br />CS/CS/HB325 into law, resulting in the Law of Florida 2010-80 taking effect on July 1, 2010; and
<br />WHEREAS, Law of Florida 2010-80, Sec. 316.0083, Fla.Stat. expressly authorizes
<br />municipalities to use traffic infraction detectors to enforce certain provisions of Chapter 316 of the
<br />Florida Statutes, subject to certain requirements; and
<br />WHEREAS, the Customer's City Commission adopted Sec. 256-23, Code of Ordinances, which
<br />authorizes the Customer's Traffic Safety Camera Program (TSCP) and authorizes the implementation
<br />and operation of such; and
<br />WHEREAS, the City of Sarasota issued Request for Proposal RFP No. 17-29DD, "Red Light
<br />Enforcement," appended hereto as "Exhibit E," and on January 28, 2018, the City of Sarasota entered
<br />into an Agreement with REDSPEED for an initial three (3) year term, terminating on April 30, 2021,
<br />with the option to renew for three (3) additional one (1) year terms; and.
<br />WHEREAS, the City of Sarasota has exercised its options to renew its Agreement with
<br />REDSPEED through April 30, 2024;
<br />WHEREAS, the Customer desires to enter into an agreement with REDSPEED, using the City
<br />of Sarasota's solicitation information, and the REDSPEED's response thereto, to provide the Services
<br />as described herein, and subject to the terms and conditions contained herein; and
<br />WHEREAS, pursuant to the Customer's procurement code provisions, purchases made under
<br />state, county or other governmental contracts, or competitive bids with other entities are exempt
<br />from the City's competitive bidding procedures;
