DocuSign Envelope ID: 2F824D49-F88D-4ED1-8861-25C6564470E2 <br />EXECUTION COPY <br />1.3.6 LESSEE's satisfaction with the results of its Due Diligence Investigation <br />of the Leased Premises during the Due Diligence Investigation Period. <br />1.3.7 The Director of the Planning & Zoning Department shall have approved <br />the proposed construction contained in the Plan and Specifications pursuant to Section 4.3, 4.4, <br />and 4.5 through and consistent with the applicable criteria and procedures set forth in the City's <br />Land Development Regulations <br />1.4 Quiet Enjoyment. Except as otherwise expressly set forth herein, LESSOR <br />represents and warrants that it has full right and authority to enter into this Lease and that LESSEE, <br />while paying the Rent and performing its other covenants and agreements herein set forth, shall <br />peaceably and quietly have, hold and enjoy the Leased Premises for the term hereof without <br />hindrance or molestation from LESSOR subject to the terms and provisions of -this Lease. <br />1.5 Contract Administrator. The Contract Administrator for LESSOR under this <br />Lease shall be the City Manager, or his designee. The Contract Administrator for LESSEE under <br />this Lease shall be Ron Choron. In the administration of this Lease, as contrasted with matters of <br />policy, all parties may rely upon instructions or determinations made by the respective Contract <br />Administrator. <br />ARTICLE 2. <br />TERM OF LEASE <br />2.1 Term. The Term of this Lease commences on the "Effective Date" and runs for an <br />initial period of forty-two (42) months, unless the parties terminate the Lease earlier, with options <br />for five (5) twelve (12) month renewals thereafter at the LESSOR's sole discretion. LESSOR and <br />LESSEE shall have the mutual right to terminate this Lease upon sixty (60) days advance written <br />notice to the non -terminating party however this termination right shall not apply to the initial <br />forty-two (42) month Term. <br />2.2 Recordation Memorandum of Lease. A Memorandum of Lease, to be executed <br />by both parties contemporaneous with the execution of this Lease, shall be recorded by LESSEE, <br />at LESSEE'S expense, in the Public Records of Miami -Dade County, Florida on or about the <br />Effective Date of this Lease. <br />2.3 LESSEE's Right to Terminate Lease. In the event that any of the conditions set <br />forth in Subsections 1.3.6 and 1.3.7 are not met or achieved within the applicable time periods <br />described herein, then LESSEE shall have the absolute right to terminate this Lease upon delivery <br />or written notice to LESSOR without liability of any kind. <br />ARTICLE 3. <br />RENT AND ADDITIONAL PAYMENTS <br />3.1 Amount and Payment of Rent. As rent for the Leased Premises, commencing on <br />the Effective Date, and continuing on the first day of each and every successive calendar month <br />thereafter for the first 18 months of the Lease Term, LESSEE shall pay to LESSOR the monthly <br />rent of Five Thousand Dollars and No Cents ($5,000.00).
