RESOLUTION NO. 2024 -� <br />A RESOLUTION OF THE CITY COMMISSION OF THE CITY OF SUNNY ISLES BEACH, <br />FLORIDA, APPROVING A LEASE AGREEMENT WITH CREMA DOWNTOWN CORP. TO <br />DESIGN, BUILD, OPERATE, AND LEASE RESTAURANT SPACE AT THE PROPERTY <br />LOCATED AT 18050 COLLINS AVENUE, ATTACHED HERETO, IN SUBSTANTIALLY THE <br />FORM, AS EXHIBIT "A"; AUTHORIZING THE PAYMENT OF BROKERS' COMMISSIONS <br />TO COLLIERS INTERNATIONAL AND AVENUE REAL ESTATE PARTNERS, IN THE <br />TOTAL AMOUNT OF NINETY-SEVEN THOUSAND ONE HUNDRED FIFTY DOLLARS <br />AND SEVENTY-THREE CENTS ($97,150.73); AUTHORIZING THE CITY MANAGER TO <br />DO ALL THINGS NECESSARY TO EFFECTUATE THIS RESOLUTION; PROVIDING FOR <br />AN EFFECTIVE DATE. <br />WHEREAS, on April 18th, 2024, via Resolution No. 2024-3642 ("Negroni Reso"), the City <br />Commission of the City of Sunny Isles Beach (the "City") authorized the City Manager to negotiate a <br />lease agreement with Negroni to design, build, operate, and lease a food operation at the property <br />located at 18050 Collins Avenue (the "Services"); and <br />WHEREAS, the City and Negroni reached an impasse in negotiations; and <br />WHEREAS, on September 19th, 2024, via Resolution No. 2024-3721, the City Commission <br />authorized the City Manager to negotiate a Lease Agreement with Crema Downtown Corp. <br />("CREMA"); and <br />WHEREAS, the City Manager has successfully negotiated a Lease Agreement with CREMA; <br />and <br />WHEREAS, the City Commission wishes to approve a Lease Agreement with CREMA to <br />lease, design, build, and operate restaurant space, as more particularly described the Lease <br />Agreement, attached hereto, in substantially the form, as Exhibit "A"; and <br />WHEREAS, the City as Lessor, is responsible for the payment of brokers' commissions for <br />the Lease Agreement, in the amount of Forty -Eight Thousand Five Hundred Seventy -Five Dollars <br />and Thirty -Six Cents ($48,575.36) or 3% to Colliers International, and in the amount of Forty -Eight <br />Thousand Five Hundred Seventy -Five Dollars and Thirty -Six Cents ($48,575.36) or 3% to Avenue <br />Real Estate Partners, for a total of Ninety -Seven Thousand One Hundred Fifty Dollars and Seventy - <br />Three Cents ($97,150.73) or 6%. <br />NOW, THEREFORE, BE IT RESOLVED BY THE CITY COMMISSION OF THE CITY OF SUNNY <br />ISLES BEACH, FLORIDA, AS FOLLOWS: <br />Section 1. Approval of Lease Agreement. The City Commission hereby approves a Lease <br />Agreement with Crema Downtown Corp. to design, build, operate, and lease a food operation at <br />the property located at 18050 Collins Avenue, attached hereto, in substantially the form, as Exhibit <br />Section 2.
