EXECUTION COPY <br />FIRST AMENDMENT TO LEASE AGREEMENT <br />THIS FIRST AMENDMENT TO LEASE AGREEMENT (hereinafter "First <br />Amendment"), is made and entered into this b* day of,4frr4 2026 (hereinafter "Effective <br />Date"), by and between: "I <br />CITY OF SUNNY ISLES BEACH, a municipal corporation <br />organized under the laws of the State of Florida, whose principal <br />address is 18070 Collins Avenue, FL 33160 (hereinafter "LESSOR" <br />or "CITY"), <br />and <br />LA PLAYA BEACH ASSOCIATES, LLC, a foreign limited <br />liability company organized under the laws of the State of Delaware, <br />whose principal address is 1300 Brickell Avenue, Miami, FL 33131 <br />(hereinafter "LESSEE"). <br />WITNESSETH: <br />WHEREAS, LESSOR and LESSEE are parties to that certain Lease Agreement, dated <br />July 10, 2024 (hereinafter "Lease") providing for the lease to LESSEE of certain premises located <br />at 18590 Collins Avenue, Sunny Isles Beach, FL 33160, as more particularly described in the <br />Lease, appended hereto as Exhibit 1; and <br />WHEREAS, LESSOR and LESSEE desire to amend certain terms of the Lease pursuant <br />to the terms, provisions, and conditions set forth in this First Amendment; <br />NOW THEREFORE, in consideration of the mutual covenants exchanged herein and <br />other good and valuable consideration, the receipt and sufficiency of which are hereby <br />acknowledged, the LESSOR and LESSEE agree as follows: <br />1. RECITALS; DEFINED TERMS. The recitals set forth above are true and correct <br />and are incorporated herein by reference. All capitalized terms contained in this First Amendment <br />that are not otherwise defined shall have the respective meanings ascribed to them in the Lease. <br />2. TERM OF LEASE. Article 2, Section 2.1, of the Lease is amended as follows: <br />Term. The Term of this Lease commences on the "Effective Date" and runs for an <br />initial period of femme six -six (42 66) months, unless the parties terminate the <br />Lease earlier, with options for five (5) twelve (12) month renewals thereafter at the <br />LESSOR's sole discretion. LESSOR and LESSEE shall have the mutual right to <br />terminate this Lease upon sixty (60) days advance written notice to the non - <br />terminating party however this termination right shall not apply to the initial ferty- <br />twe six -six (42- 66) month Term. <br />3. Except as amended herein, the Lease remains unmodified and in full force and effect <br />and is hereby ratified and confirmed.
