This Lease shall be construed in <br />accordance with the laws of the State of Florida. If any provision hereof, or its application to any <br />person or situation, is deemed invalid or unenforceable for any reason and to any extent, the <br />remainder of this Lease, or the application of the remainder of the provisions, shall not be affected. <br />Rather, this Lease is to be enforced to the extent permitted by law. Each covenant, term, condition, <br />obligation or other provision of the Lease is to be construed as a separate and independent covenant <br />of the party who is bound by or who undertakes it, and each is independent of any other provision <br />of this Lease, unless otherwise expressly provided. All terms and words used in this Lease, <br />regardless of the number or gender in which they are used, are deemed to include any other number <br />and other gender as the context requires. <br />12.12 Successors. This Lease shall be binding on and inure to the benefit of the parties, <br />their successors and assigns. <br />12.13 No Waiver of Sovereign Immunity. Nothing contained in this Lease is intended <br />to serve as a waiver of sovereign immunity by any agency to which sovereign immunity may be <br />applicable. <br />12.14 No Third Party Beneficiaries. Except as maybe expressly set forth to the contrary <br />herein, the parties expressly acknowledge that it is not their intent to create or confer any rights or <br />obligations in or upon any third person or entity under this Lease. None of the parties intends to <br />directly or substantially benefit a third party by this Lease. The parties agree that there are no third <br />party beneficiaries to this Lease and that no third party shall be entitled to assert a claim against <br />any of the parties based on this Lease. Nothing herein shall be construed as consent by any agency <br />or political subdivision of the State of Florida to be sued by third parties in any manner arising out <br />of any contract. <br />12.15 Non -Discrimination. LESSEE shall not discriminate against any Person in the <br />performance of duties, responsibilities and obligations under this Lease because of race, age, <br />religion, color, gender, national origin, marital status, disability or sexual orientation. <br />12.16 Records. Each party shall maintain its own respective records and documents <br />associated with this Lease in accordance with the records retention requirements applicable to <br />public records, as applicable. Each party shall be responsible for compliance with any public <br />documents request served upon it pursuant to Chapter 119, Florida Statutes, to the extent Chapter <br />119 may be applicable to that entity. IF THE LESSEE HAS QUESTIONS REGARDING THE <br />APPLICATION OF CHAPTER 119, FLORIDA STATUTES, TO THE LESSEE'S DUTY TO <br />PROVIDE PUBLIC RECORDS RELATING TO THIS LEASE, CONTACT THE CUSTODIAN <br />OF PUBLIC RECORDS AT (305) 792-1703, CityClerk&sibfl.net, 18070 Collins Avenue, 41' <br />Floor, Sunny Isles Beach, Florida 33160. <br />(a) LESSEE shall comply with the specific requirements of public records laws: <br />(i) Keep and maintain public records required by the City to perform the <br />service. <br />(ii) Upon request from the City's custodian of public records, provide the City <br />with a copy of the requested records or allow the records to be inspected or <br />24 <br />56 <br />
