including those of their employees, agents, servants, or officers, related to the subject <br />matter of this Agreement. In the event any lawsuit or other proceeding is brought <br />against City by reason of any such claim, cause of action or demand, VSS shall, upon <br />written notice from City, resist and defend such lawsuit or proceeding by counsel <br />satisfactory to the Parties upon mutual consent. <br />The provisions and obligations of this section shall survive the expiration or earlier <br />termination of this Agreement. <br />15. PUBLIC RECORDS. VSS shall be required to comply with the following <br />requirements under Florida's Public Records Law: <br />A. VSS shall keep and maintain public records required by the CITY to perform the <br />service. <br />B. Upon written request from the CITY, VSS shall provide the CITY with a copy of <br />the requested records or allow the records to be inspected or copied within a <br />reasonable time at a cost that does not exceed the cost provided by Chapter 119, <br />Florida Statutes, or as otherwise provided by law. <br />C. VSS shall ensure that public records that are exempt or confidential and exempt <br />from public records disclosure requirements are not disclosed except as <br />authorized by law for the duration of the contract term and following completion <br />of the contract if VSS does not transfer the records to CITY. <br />D. Upon written request, VSS shall, upon completion of the contract, transfer, at no <br />cost, to the CITY all public records in possession of VSS or keep and maintain <br />public records required by CITY to perform the service. If VSS transfers all <br />public records to CITY upon completion of the contract, VSS shall destroy any <br />duplicate public records that are exempt or confidential and exempt from public <br />records disclosure requirements. If VSS keeps and maintains public records upon <br />completion of the contract, VSS shall meet all applicable requirements for <br />retaining public records. All records stored electronically must be provided by <br />VSS to CITY, upon written request from CITY in a format that is compatible <br />with the information technology systems of CITY. Notwithstanding the above, <br />neither party shall be required to erase, delete, alter or destroy back-up media <br />made in the ordinary course of business. <br />IF VSS HAS QUESTIONS REGARDING THE APPLICATION OF CHAPTER <br />119, FLORIDA STATUTES, TO VSS' DUTY TO PROVIDE PUBLIC <br />RECORDS RELATING TO THIS CONTRACT, CONTACT THE CITY'S <br />CUSTODIAN OF PUBLIC RECORDS AT (305) 792-1703, CityClerk(asibfl.net, <br />18070 Collins Avenue, 4th Floor, Sunny Isles Beach, Florida 33160. <br />16. SCRUTINIZED COMPANIES. Pursuant to Florida Statutes Section 287.135, <br />contracting with any entity that is listed on the Scrutinized Companies that Boycott <br />Israel List or that is engaged in the boycott of Israel is prohibited. VSS herein <br />certifies, under penalty of perjury, that VSS is not participating in a boycott of <br />Israel.
