19. COMPLLANCE WITH LAW. VSS shall comply with all laws, regulations and <br />ordinances of any federal, state, or local governmental authority having jurisdiction <br />with respect to this Agreement ("Applicable Laws") and shall obtain and maintain <br />any and all material permits, licenses, approvals and consents necessary for the <br />lawful conduct of the activities contemplated under this Agreement. <br />21. BACKGROUND CHECKS. By executing this Agreement, VSS herein certifies <br />and attests under penalty of perjury that prior to the commencement of any Services <br />or Work, all managers and employees of VSS, subcontractors, and any hired <br />workers or independent contractors (hereinafter collectively "Personnel"), <br />providing the Services, performing the Work, or having access to any City <br />buildings, facilities, property, and/or parks pursuant to the Agreement have <br />undergone and passed a criminal background check consisting of a Florida <br />Department of Law Enforcement ("FDLE") and Florida Crime Information <br />Center/National Crime Information Center ("FCIC/NCIC") criminal records check. <br />Any Personnel not meeting this requirement will not be permitted to provide any <br />Services, perform any Work, or have access to any City buildings, facilities, <br />property, and/or parks, pursuant to this Agreement. VSS shall also maintain records <br />of the criminal history checks for all Personnel that provided Services, performed <br />Work, or had access to any City buildings, facilities, property, and/or parks <br />pursuant to this Agreement, for the duration of Term of this Agreement and for <br />one year thereafter and shall make such records available for inspection and <br />verification by City. VSS acknowledges that it has an ongoing obligation to <br />perform updated background checks on all Personnel, and to advise the City of any <br />material changes.
