VETTED SECURITY SOLUTIONS SERVICE AGREEMENT THIS SERVICE AGREEMENT (this "Agreement"), dated as of August 24, 2026 (the "Effective Date"), is by and between Vetted Security Solutions, LLC ("VSS', a Florida limited liability company with offices at 4185 35th Street N, Saint Petersburg, FL 33714, and the City of Sunny Isles Beach, Florida ("Customer" or "SIBPD'�, a Florida municipal corporation, with its primary location at 18070 Collins Avenue, 3rd Floor, Sunny Isles Beach, FL 33160. VSS and Customer are together the "Parties". WHEREAS, VSS has provided repair and support services to SIBPD under a prior service agreement, and the Parties wish to renew and restate those services on the terms below; WHEREAS, SIBPD operates an integrated video surveillance and license plate recognition environment consisting of equipment sold and installed by VSS together with pre-existing agency equipment that VSS has integrated into the Avigilon platform; and WHEREAS, this Agreement governs service labor only and does not sell, warrant or replace hardware, which remains subject to the applicable manufacturer's original warranty; NOW, THEREFORE, in consideration of the mutual covenants set forth herein, the Parties agree as follows: 1. Scope of Services 1.1 VSS will provide diagnostic, repair and support labor (the "Services' for the systems recorded at Exhibit A, on an as -needed basis during the Term. 1.2 VSS warrants that: (a) the Services will be performed in a timely, efficient, professional and workmanlike manner; (b) all personnel assigned will have the necessary skill and training; (c) the Services will be performed consistent with the standard of care in the industry; and (d) VSS will supply the support personnel, equipment and tools needed to access and service the covered equipment in the field. 1.3 This is a labor services agreement. It does not include hardware, parts, software licenses, subscriptions or consumables. 2. Term and Renewal 2.1 The Term begins on 8/24/26 and runs for the period Customer selects at Exhibit B.1. 2.2 Rate lock. On a 24-month or 36-month Term, the annual fee is held at the Year 1 amount for every year of the Term. It is not re -quoted, not escalated and not subject to VSS's annual price increase. The per -device rates at Exhibit B.3 are held on the same basis, so equipment added in a later year of the Term is covered at the Year 1 rate. Each year remains subject to Section 13.3. 2.3 This Agreement does not renew automatically. Renewal requires a new quotation and a new purchase order at VSS's then -current rates. 3. Fees and Invoicing 3.1 The annual fee, the invoicing method and all rates are set out at Exhibit B. They are not restated elsewhere in this Agreement.
