<br /> This letter shall serve as a letter agreement between the City of Sunny Isles Beach
<br /> Christopher J.Russo ("the City")and the Bicycle Action Committee("BAC")regarding fundraising for the
<br /> City Manager City's bicycle initiatives:

<br /> 1. The City will allow the non-exclusive use of the seal of the City of Sunny Isles
<br /> Jane A. Hines Beach to be used on bike kits (jersey and shorts) manufactured locally with
<br /> City Clerk,MMC (1 Y ) Y
<br /> Veloce Speedwear or a manufacturer chosen by BAC. Upon termination of
<br /> this letter agreement,BAC shall not be permitted to use the City's seal.
<br /> 2. BAC will be responsible for all advertising,sponsors,and donations to pay for
<br /> the bike kits upfront.
<br /> 3. Money will be raised by BAC reaching out to the community through
<br /> donations from the private sector. Donors can donate money and put their
<br /> . `logo' on the kits or donate and elect not to have anything placed on the kits.
<br /> The rates vary depending on size and location of the logos in the discretion of
<br /> BAC (sample rate schedule will be provided to your office).
<br /> 4. The City is not responsible for any fundraising. BAC will obtain written
<br /> approval from the City prior to including a sponsor.
<br /> 5. All proceeds raised in excess of the amount needed to produce the kits will be
<br /> donated to the City of Sunny Isles Beach bicycle initiatives programs to be
<br /> used towards improving bicycle facilities and safety through things such as the
<br /> purchase of bicycle racks and educational campaigns.
<br /> 6. The kits can be purchased on the Veloce Speedwear website and sold at various
<br /> bike stores in town and at the City's Government Center. In addition,the kits
<br /> can be raffled or given away at City or bike events to support the cause.
<br /> 7. BAC shall defend, indemnify and hold harmless the City and the City's
<br /> officers,employees,volunteers,and agents from and against any and all losses,
<br /> penalties, fines, damages, settlements, judgments, claims, costs, charges,
<br /> expenses, or liabilities, including any award of attorney's fees and any award
<br /> of costs, in connection with or arising directly or indirectly out of any act or
<br /> omission by BAC or by any officer, employee, agent, invitee,subcontractor,
