<br /> This Fifth Amendment to the Agreement between the City ofStl ay Isles peach("City")and The
<br /> Goodyear Tire and Rubber Company,("Contractor")executed this i1kay of Se-PM ne ! 2015,
<br /> is made a part of the original Agreement("Agreement"),approved by Resolution No.2.012=1935 dated July
<br /> 19,2012,between the city and Contractor attached hereto as Attachment"A",whose Federal Identification
<br /> i?is "7i4 OZS 3 Z. I 0., The City and Contractor hereby agree as follows:
<br /> I. ELECTION OF.R N;WAL TERM: The City hereby exercises its third option to renew the
<br /> Agreement for on (I)year pursuant to Section 4 of the Agreement between the parties. The term of this
<br /> Fifth Amendment shall commence upon the date of approval by the City Commission and shall terminate
<br /> no later than one year thereafter.
<br /> 2, ADDITIONAL COMPENSATION: The additional compensation for Services relider'ed in
<br /> connection) with this Fifth Amndment shall be in an amount not to exeeed One Hundred Forty Five
<br /> Thousand Seven Hundred and Filly Dollars(S F'l5,750,00).
<br /> 3. OTHER PROVISIONS REMAIN IN EFFECT: Except as specifically modified herein, all
<br /> terms and conditions of the original Agreement between the parties,dated July 19,2 012,as well as each
<br /> subsequent amendment thereto,shall remain in full three and effect,
<br /> 4. CI)NFLECT NC PROVISIONS: Ti there is a conflict or inconsistency between any term,
<br /> statement, requirement,or provision duty exhibit attached hereto,or any document or events referred to
<br /> herein,or otherwise incorporated by reference,the term,statement,requirement,or provision contained in
<br /> this Fifth Amendment shall prevail and be given superior effect and priority over any conflicting or
<br /> • inconsistent term, statement, requirement or provision contained in any other document or attachment,
<br /> including but not limited to Attachment"A".
