Dannheisser <br />MEMORANDUM <br />TO: City Commission <br />FROM: Lynn Dannheisser, City Attorney <br />DATE: November 18, 1999 <br />SUBJECT: RESOLUTION WANING CONFLICT OF INTEREST AS TO TAX <br />OPINION FROM GREENBERG TRAURIG <br />RECOMMENDATION: <br />The City Attorney's recommendation is to approve this Resolution. <br />REASON: <br />By reason of Agenda Item 7D, authorizing the issuance of a bond in the principal <br />amount not to exceed $20,000,000.00, an opinion of bond counsel is necessary as to, <br />among other things, the qualified tax-exempt nature of the bond issuance. At the <br />request of the lender, this office has engaged the firm of Greenberg Traurig to issue <br />the required tax opinion. As Greenberg Traurig occasionally appears before this <br />Commission on behalf of other clients, it is desirable, and, in this case, in the best <br />interest of the City, to waive any potential conflict of interest, as to representation of <br />the City, by Greenberg Traurig as bond counsel. <br />Respectfully submitted, <br />LMD:ch <br />Attachment <br />Cay Clerk <br />Richard Brown-Morilla <br />
