<br />EXHIBIT A <br /> <br />AGREEMENT RELA TING TO FLORIDA CABLE TELEVISION ORDINANCE NO. 99-b.Q <br />AND GRANTING A FRANCHISE TO OWN, OPERATE AND MAINTAIN CABLE <br />TELEVISION SYSTEM IN THE CITY OF SUNNY ISLES BEACH, FLORIDA, AND <br />SETTING FORTH CONDITIONS ACCOMPANYING THE GRANT OF SUCH FRANCHISE <br />AND PROVIDING FOR REGULATION AND LEASE OF SUCH SYSTEM. <br /> <br />This agreement, effective thisU,.A.day of ~ ,1999, is by and between the City <br />of Sunny Isles Beach (the "City") and Rifkin/Narragansett South Florida CATV Limited <br />Partnership and Interlink Communications Partners, LLLP, its successors or assigns d/b/a <br />Cablevision Communications ("Cablevision"). <br /> <br />WHEREAS, pursuant to the Communications Act of 1934, as amended, 47 U.S.c. 9521 <br />et seq., the City may grant or renew a franchise to construct, operate and maintain a cable <br />television system; and <br /> <br />WHEREAS, on April 15, 1999, the Commission of the City of Sunny Isles Beach, <br />Florida ("Commission"), adopted Ordinance No. 99-~, providing for the issuance and regulation <br />of cable television franchises for, and the installation, construction and operation of, cable <br />television systems within the City; and <br /> <br />WHEREAS, Cablevision desires to obtain a franchise to construct, install, maintain, and <br />operate a cable system in the City, and has applied to the City for the grant of such franchise; and <br /> <br />WHEREAS, the construction, installation, maintenance, and operation of such a system <br />involves the use and occupation of the streets of the City, over which the City exercises <br />governmental control; and <br /> <br />WHEREAS, the Commission has evaluated Cablevision's application in light of the <br />requirements of Federal and State law and the Ordinance, and has conducted public hearings <br />concerning Cablevision's request and application; and <br /> <br />WHEREAS, the Commission has relied on Cablevision's representations both oral and <br />written and has considered all information presented to it by Cablevision, and having held a <br />public hearing; and <br /> <br />WHEREAS, based on said representations and information, the Commission has <br />determined that a grant of a nonexclusive franchise to Cablevision to construct, install, maintain <br />and operate a cable television system in the City, subject to the terms and conditions set fonh <br />herein and in the ordinance, is consistent with the public interest; and <br /> <br />-1- <br /> <br />Cable Fr:ll1ch.se Agreement <br /> <br />~ <br />
