JUL 1 2 2005 <br />SCHOOL BOARD OF <br />LEE COUNTY <br /> <br />R&S INTEGRATED - STANDARD CONTRACT <br /> <br />BE1WEEN The School Board of Lee County, Florida <br />AND R&S Integrated Products and Services, Inc. <br /> <br />THIS CONTRACT is between The School Board of Lee County, Florida, with offices located at 2055 <br />Central Ave, Fort Myers, Florida, 33901 (hereinafter referred to as SDLC) and R&S Integrated Products <br />and Services, Inc,. a Florida corporation, authorized to do business in Florida, with offices located at <br />1647~ George Jenkins Blvd., Lakeland, Florida, 33815 (hereinafter referred to as "R&S Integrated"). In <br />consideration of the mutual terms and promises set forth below. SOLC and R&S Integrated agree as <br />follows: <br /> <br />1. Services <br /> <br />R&S Integrated's responsibility under this Contract is to provide an Electronic Document and Records <br />Management Solution, (EDRMS), as proposed and described in the R&S Integrated proposal document <br />entitled "Proposal for a Document Imaging and Management System (DIMS) In Response to Lee County <br />School District's RFP #6211 entitled 'Document Imagir'lg System for the School District of Lee County, <br />Florida'" dated August 5,2004, such proposal being augmented by the R&S Integrated document entitled <br />"Final Report and Recommendations From the Review and Analysis of Existing Department Business <br />Processes Within the School District of Lee County, Florida In Preparation for the Implementation of an <br />Electronic Document and Records Management Solution (EDRMS)" dated April 29, 2005, a third <br />document entitled "Revised EDRMS Pricing Proposal - July 1, 2005" I and a fourth document entitled <br />"Implementation Plan" dated July 1, 2005 which are hereby incorporated into and made a part of this <br />Contract. SOLC's representative/liaison during the performance of this Contract shall be Dolores <br />Shelhorse, Director of Information Systems. telephone number 239-337-8277, or designee <br /> <br />R&S Integrated's representative/liaison during the performance of this Contract shall be Robert Porter, <br />telephone number (863) 683-9393, or designee. <br /> <br />2. Purchase <br /> <br />In consideration of the pricing concessions provided by R&S Integrated and its suppliers, SDLC agrees to <br />execute a purchasing process as follows: All software components of the PURCHASE ONE _ <br />SUMMARY will be ordered under a single Purchase Order follOWing SOLe acceptance of the Proof-of- <br />Concept. All hardware components of the PURCHASE ONE - SUMMARY will be ordered under a <br />separate Purchase Order following the signing of this contract. All professional services components of <br />the PURCHASE ONE - SUMMARY will be ordered under a separate Purchase Order following the <br />Signing of this contract to accommodate expenses incurred during the Proof-of-Concept. <br /> <br />All hardware, software and professional services components of the PURCHASE TVVO - SUMMARY <br />(with the exception ofthe five Laserfiche Workflow components, which is an optional purchase) will be <br />ordered with a single Purchase Order upon the start of Phase 3 as outlined in Attachment 4 dependent <br />upon successful completion of the Proof of Concept pilot project <br /> <br />("1, b r, <br />. t~"', <br />~~.o1r'(~ ~ ) <br />i~i ~ ;CO <br />
