<br />CITY OF SUNNY ISLES BEACH <br />LASERFICHE DOCUMENT IMAGING SERVICES AGREEMENT <br />WITH R&S INTEGRATED PRODUCTS & SERVICES, INC. <br />CONTRACT NO. C0506-006 <br /> <br />THIS SERVICE AGREEMENT made and entered into this Il~ day of <br />()c.. 40 bee 2005, by and between the CITY OF SUNNY ISLES BEACH, <br />FLORIDA, a municipal corporation of the State of Florida, (hereinafter referred as to "City") <br />and R&S Integrated Products and Services, Inc., a Florida corporation, authorized to do <br />business in the State of Florida, (hereinafter referred to as "Contractor"), whose Federal I.D.# is <br />59-3209124 . <br /> <br />RECITALS <br /> <br />WHEREAS, the School District of Lee County, Florida ("SDLC") issued Request for <br />Proposals No. 6211 for the creation of its document imaging and electronic document <br />management system ("Services"); and <br /> <br />WHEREAS, Contractor submitted a bid to provide Services and was awarded a contract <br />to provide said Services to SDLC; and <br /> <br />WHEREAS, the City is in need of a contractor to provide said Services; and <br /> <br />WHEREAS, pursuant to the City's procurement code provisions, purchases made under <br />state, county or other governmental contracts or competitive bids with other governmental <br />agencies shall be exempt from the City's competitive bidding procedures; and <br /> <br />WHEREAS, the Contractor is qualified, willing and able to provide the desired Services <br />for the City at the same rate, terms and conditions set forth herein; and <br /> <br />WHEREAS, the City wishes to employ Contractor to provide Services more particularly <br />described in shown in Exhibit "A" attached hereto and made a part hereof. <br /> <br />NOW THERFORE, in consideration of the premises and the mutual covenants herein <br />named, the parties hereto agree as set forth below: <br /> <br />1. RECITALS. The recitals set forth above are hereby incorporated into this Agreement <br />and made a part of hereof for reference. <br /> <br />2. SERVICES TO BE PERFORMED. Contractor shall perform the following Services <br />more particularly described in shown in Exhibit "A" attached hereto and made a part hereof: <br /> <br />a. the development, installation, configuration and testing of an electronic document <br />managing system ("EDMS") <br />b. completion of all training of City personnel for the use of ED MS <br />c. EDMS maintenance and support for one (1) year after the City's final acceptance <br />of the EDMS or first production use, whichever occurs first. <br /> <br />The total price for these Services shall not exceed $600,000 payable: _ 0 as invoiced. <br /> <br />Laserfiche Document Imaging Services - R& S Integrated Final <br /> <br />S\B <br />
