<br />NO/100 ($50,000.00) Dollars through September 30, 2002, at an annual rate of
<br />Fifty-Five Thousand and No/100 ($55,000.00) Dollars for October 1,2002 through
<br />September 30, 2003, at an annual rate of Fifty-Five Thousand and No/100
<br />($55,000.00) Dollars for October 1, 2003 through September 30, 2004, at an
<br />annual rate of Fifty-Five Thousand and No/lOO ($55,000.00) Dollars for October 1,
<br />2004 through September 20, 2005, at an annual rate of Fifty-Five Thousand and
<br />No/ 100 ($55,000.00) Dollars for October 1,2005 through September 20,2006. The
<br />City Manager may choose to extend this agreement for an additional year at the
<br />same contract price.
<br />
<br />IV. EFFECTIVE DATE, DURATION
<br />
<br />This revised agreement shall be effective the 15t day of October 2005, and shall be
<br />effective through September 2006, subject to renewal upon such terms as the
<br />parties mutually agree.
<br />
<br />V. TERMINATION
<br />
<br />Either party hereto, at its discretion, may terminate this contract at any time upon
<br />thirty (30) days' advance written notice to the other. In the event of such
<br />termination, the CITY shall be obligated for costs incurred prior to the termination
<br />notice.
<br />
<br />VI. PRIORITY
<br />
<br />BOOK shall not be prohibited from representing or providing the like servIces to
<br />other persons and entities besides CITY, so long as BOOK shall avoid any
<br />representation or relation which would create a conflict of interest, as determined
<br />by the City Attorney and City Manager. Further, BOOK shall not take on any client
<br />or matter that would jeopardize BOOK's ability to devote time, resources and effort
<br />necessary to fulfill to CITY hereunder.
<br />
<br />VII. MALPRACTICE INSURANCE
<br />
<br />BOOK shall carry lawyer's professional malpractice insurance or other form of
<br />insurance, which shall provide coverage of not less than Five Hundred Thousand
<br />and No/ 100 ($500,000.00) Dollars.
<br />
<br />VIII. PROCESSING OF COSTS
<br />
<br />BOOK shall be reimbursed by CITY for reasonable costs, including travel expenses,
<br />telephone, copy fees, federal express and postage. Such costs shall not exceed
<br />Three Thousand and No/100 ($3,000.00) Dollars on an annual basis for calendar
<br />year 1998, and Five Thousand and No/100 ($5,000.00) each for calendar years
<br />1999 and 2000, and Seven Thousand Five Hundred and No/100 ($7,500.00)
<br />Dollars for calendar years 2001-2006, unless approved by the City Manager. If
