<br />Service (as defined in Exhibit 1), one (I) t\venty four (24) passenger motor <br />vehicle, (the "Designated Vehicles") for the purpose of providing Transpol1ation <br />Services in accordance with the terms and conditions of this Agreement. <br /> <br />(b) If at any time during the Term of this Agreement, the CITY determines that the <br />percentage of passenger seats allocated to the CITY and/or type of Designated <br />Vehicles are unsatisfactory for its purposes, the PARTIES agree to renegotiate the <br />number and/or type of the Designated Vehicles and related issues, including but <br />not limited to Compensation. If after ten (10) days, the PARTIES are unable to <br />agree on mutually beneficial terms, then either party may terminate the <br />Agreement. <br /> <br />(c) The PARTIES agree that the TranspOltation Services may be provided by <br />companies that are subsidiaries or affiliates of LOGISTICARE, or by <br />subcontractors to LOGISTICARE. <br /> <br />2 .02 Hours of Service. LOGlSTlCARE shall provide the Transportation Services during the <br />hours specified in Exhibit 1, unless otherwise amended in writing between the CITY and <br />LOGISTICARE. Reservations for next day service must be received by LOGISTICARE <br />by 15:00 hours the day prior to the anticipated transpol1. If at any time during the Term <br />of this Agreement, the CITY determines that the hours and/or days of service are not <br />satisfactory to the CITY, the PARTIES agree to renegotiate the hours and/or days of <br />service and related issues, including but not limited to Compensation. If after ten (10) <br />days, the PARTIES are unable to agree on mutually beneficial terms, then either party <br />may terminate the Agreement. <br /> <br />2 .03 Trip Logs. LOGlSTlCARE shall require each driver to prepare and maintain a trip log <br />for each trip and shall make such logs readily available for the CITY's inspection. The <br />trip logs shall identify the date and time for each departure and arrival trip, the driver's <br />name, the name of the final destination for each trip, the total number of CITY authorized <br />passengers per trip and each passenger's name. <br /> <br />2 .04 Holidays. LOGISTICARE shall not be required to provide Transportation Services on <br />the following holidays: New Year's Day, Memorial Day, Independence Day, Labor Day, <br />Thanksgiving Day and Christmas Day. LOGISTICARE shall post a sign to be easily <br />viewed by the passengers in a conspicuous place regarding the Holiday Schedule at least <br />five (5) days prior to the scheduled holiday. <br /> <br />2 .05 Communication System. In connection with providing the Transportation Services, <br />LOGISTICARE shall install and maintain, at its sole cost and expense, a functioning two- <br />way communication system, on the Designated Vehicle(s). LOGISTICARE shall ensure <br />that all drivers assigned to provide Transportation Services to the CITY are adequately <br />trained to use the communication system installed in the designated vehicles. <br /> <br />2 <br /> <br />SIB <br />
