CITY OF SUNNY ISLES BEACH PURCHASE AND SALE AGREEMENT WITH THE HISTORY PRESS CONTRACT NO. C0506-61 THIS AGREEMENT, is entered into this 2D~ay of ::J7J l~ 2006, by and between the CITY OF SUNNY ISLES BEACH, a Florida municipal c rporation, located at 18070 Collins Avenue, Sunny Isles Beach, Florida 33160 (hereinafter referred to as "City") and THE HISTORY PRESS, a for profit corporation, located at 18 Percy Street, Charleston, South Carolina 29403 (hereinafter referred to as "Publisher"). WHEREAS, the City desires to have a book published which will capture the City's history and provide a medium to inform residents and the general public about the City's rich and distinctive culture; and WHEREAS, The City has entered into an Agreement with writer, Seth H. Bramson, to author a book which will be titled From Sandbar to Sophistication: The Story of Sunny Isles Beach (hereinafter referred to respectively as the "Author" and the "Book"), whereby the City will pay Author a total fee of Three Thousand Five Hundred Dollars ($3,500.00). The Agreement between the City and the Author is attached hereto and referenced as Exhibit "A", and incorporated and made a part of this Agreement; and WHEREAS, the History Press has expressed the ability and desire to publish a book by the Author and the Author has accepted a publication schedule from the Publisher to deliver a final draft of the Book to the Publisher on or before October 31. 2006, as evidenced in the agreement between the Author and the Publisher, which is attached hereto and referenced as Exhibit "B", and incorporated and made a part of this Agreement; and WHEREAS, the City desires to enter into an Agreement with Publisher, whereby the City will purchase 1 ,000 copies of the Book at a discounted price of Ten Dollars and Fifty-six Cents ($10.56), prior to the seheduled release of the Book on or before April, 2007. NOW THEREFORE, as pm1 of the consideration for this Agreement the City and the Author hereby declare and agree to the following: I. Recitals. The above recitals are incorporated herein as if fully set forth. 2. Term. The term of this Agreement is for the specific purpose of publishing a Book entitled From Sandbar to Sophistication: The Story of Sunny Isles Beach and shall terminate upon the delivery to the City of 1,000 copies of the Book, unless terminated sooner in writing by the parties pursuant to paragraph 11. 3.
