<br />"Vertical Improvements" shall mean the buildings, structures and other improvements as shown <br />on the Project Development Plan and in the Plans and Specifications to be constructed within the <br />Project Site in accordance with this Agreement. <br /> <br />ARTICLE III <br />CONVEYANCES AND EXCHANGES <br /> <br />3.1 Ground Lease. The City and Developer agree and acknowledge that the terms and <br />provisions of that certain Ground Lease having an initial term of thirty (30) years with option for <br />two (2) additional thirty (30) year terms shall be the basis of the rights and obligations of the <br />respective parties. <br /> <br />ARTICLE IV <br />PERMITTING, CONSTRUCTION, AND DEVELOPMENT <br /> <br />4.1 Scope of Development. The Developer shall be responsible for constructing, <br />developing, arranging, overseeing, coordinating and administering the development of the <br />Project and consistent with the Plans and Specifications, subject to the terms and conditions <br />provided in this Agreement. Any proposed modifications to the Project in any material respect <br />shall be submitted to the City for its approval. For the purposes of this subsection, the term <br />"material" shall mean any change to the building footprint or massing, or which affects the <br />function, uses or parking count within the Parking Garage and Park. The Developer shall <br />construct and develop, or cause to be constructed and developed, all Improvements which the <br />Developer is obligated to construct and develop in accordance with Section 5.1 hereof, and <br />subject to the conditions established in this Agreement. <br /> <br />4.2 Approvals, Permits and Fees. <br /> <br />4.2.1 Developer Obligations. The Developer will be responsible for obtaining from all authorities <br />having jurisdiction, at its sole cost and expense, all required approvals for development of the <br />Project including, but not limited to, comprehensive and land use plan amendments, any required <br />rezoning, special exception or use and site plan approvals, provided the City shall cooperate and <br />support Developer in connection with attempting to obtain such governmental approvals, and <br />provided Developer shall apply for the permits for construction consistent with the City's Code <br />of Ordinances and Florida Building Code. The Project shall be constructed by the Developer <br />pursuant to the Plans and Specifications and the Site Plan approved by the City. The Developer <br />shall be responsible for all fees associated with any and all applications and permits including <br />impact fees and other fees and charges imposed by the other governmental agencies having <br />jurisdiction of the Project. The City shall waive all permit fees charges by the City for the <br />development of the Project. <br /> <br />3 <br />
