NOTES:
<br />Customer will supply, required computers, modems, routers, permit and electrical
<br />Due to the equipment that is being installed at this site, and its electronic complexity, Royce Parking Controls.
<br />recommends that the owner should have the electrical power sources tested and certified for +/- S% Mrrximunr Deninlion
<br />prior to installation of the above system.
<br />This Proposal Includes: Supply and installation of proposed new equipment, wire /wiring, electronic locks, system basic
<br />configuration and setup, pre - programming, testing, miscellaneous materials and freight.
<br />This Proposal Does Not Include: Engineering of equipment location, power to equipment, any necessary conduit work,
<br />trenching, fire wall patches, any necessary concrete or asphalt requirements, progranvning of system credentials database other
<br />then basic set -up and configuration, (additional programming requirements are available at an additional cost), access cards
<br />other than those quantities specified herein, union labor, permits, and sales tax.
<br />The pricing contained herein is based solely on the usual cost elements such as labor, material, freight and standard
<br />mark -ups and does not include disruption, rescheduling, extended overhead, overtime, accelerated and /or unknown
<br />impact cost. We reserve the exclusive rights for settlement of these items as it pertains to this purchase agreement.
<br />Warranty: Royce Parking Controls, Inc. agrees to warranty its products including parts, for a period of one (1) Year from the
<br />date of shipment. Royce Parking Controls, Inc., Inc. will include the labor in the warranty of a period of one (1) Year only,
<br />from the date of shipment. Prior to the end of the initial warranty period, the customer can elect to purchase a preventive
<br />maintenance contract or a full service agreement. If the customer has not purchased any type of extended maintenance
<br />agreement, Royce Parking Controls, Inc. Inc. will invoice the customer at our standard time and material rates in effect at the
<br />time of the service request.
<br />Note: Standard Warranty service is only available during our regular business hours, which are Monday thru Friday 8:30 AM to 5:00 PM
<br />excluding holidays. If the customer requests warranty service after regular business hours, the service call will be handled the next business
<br />day.
<br />Items such as printers, access cards, gate arms, belts, paper stock, light bulbs, ribbons and batteries will be warranted in accordance
<br />with the original manufactures warranty. Consumable items are not covered under any warranties. Saw cut vehicle detector loops
<br />will only be if there is no visible degradation of asphalt pavement, concrete failure, frost heaves, existing wiring, etc. Devices
<br />including, but not limited to, fuses and/or power and/or lightning transient protectors /suppressors, which are designed to fail in order
<br />to protect the proposed system, are not included in this warranty. We will repair or replace at our choice and expense, any defective
<br />product for this warranty period. This warranty extends only to the original purchasers and does not cover the repair of replacement
<br />of parts that are by nature expendable. This warranty does not cover any act of vandalism, misuse, of equipment, acts of god, (i.e.
<br />lightning damage, flood damage, etc.) and power surges. This warranty is void if the customer attaches any feature or device to any
<br />product without advance written consent or approval from Royce Parking Controls, Inc.. There are no other warranties, expressed or
<br />implied. In no event shall Royce Parking Controls, Inc. be liable for any loss of profits, or any indirect or consequential damages
<br />arising out of any such defect in material or workmanship. The prices and terms of this quotation are not subject to verbal changes
<br />or other agreements unless approved in writing by Royce Parking Controls, Inc. All quotations and agreements are contingent upon
<br />strikes, accidents, fires, availability of materials and all other causes beyond the control of Royce Parking Controls, Inc.. Terms
<br />inconsistent with those stated herein which might appear on the Purchasers formal order will not be binding on the Seller unless
<br />accepted in writing by Royce Parking Controls, Inc.
<br />If a purchase order is used in lieu of signing this proposal, a copy of this quotation must be attached and included as a exhibit
<br />"A" of the purchase agreement. This proposal does not become valid until accepted and agreed to by Royce Parking Controls,
<br />Inc. management. Final acceptance of this quotation requires an authorized signature below.
