<br /> STATE TERM CONTRACT NUMBER: 973-163-10-1
<br /> FUEL CARD SERVICES
<br /> This Amendment 2 of the above-referenced state term contract ("Contract"), effective on August
<br /> 6, 2015, is between WEX Bank., having its principal office at 7090 South Union Park Center,
<br /> Suite 350, Midvale, UT 84047, and the State of Florida Department of Management Services
<br /> ("Department"), having its principal office at 4050 Esplanade Way, Tallahassee, Florida 32399
<br /> (collectively, the "Parties").
<br /> RECITALS
<br /> I. The Contract was executed on August 6, 2010, and is scheduled to expire on August 5,
<br /> 2015; and
<br /> II. The Parties agree to renew the Contract, in accordance with section 6.0, "Renewal," of
<br /> the Contract; and
<br /> III. The Parties agree to modify the Contract, as permitted by section 42, "Modification of
<br /> Terms," General Contract Conditions, PUR 1000, part 6 of the Contract.
<br /> NOW THEREFORE, in consideration of the mutual promises contained below, and other good
<br /> and valuable consideration, receipt and sufficiency of which are hereby acknowledged, the
<br /> Parties agree to the following:
<br /> 1.0 Contract Renewal. The Contract is renewed for a term of five (5) years, to expire on
<br /> August 5, 2020.
<br /> 2.0 Discount Adjustment. Effective May 1, 2015, the discount established in section 2.0,
<br /> "Deliverables," of the Contract is increased from 145 basis points (1.45%) to 170 basis
<br /> points (1.70%), in accordance with section 4(b), "Best Pricing Offer," General Contract
<br /> Conditions, PUR 1000, part 6 of the Contract.
<br /> 3.0 Replacement Contract. A new Contract may be awarded prior to the expiration of this
<br /> Contract. The new Contract may cause early termination of Contract No. 973-163-10-1.
<br /> In accordance with section 22, "Termination for Convenience," General Contract
<br /> Conditions, PUR 1000, part 6 of the Contract; the Department will provide the Contractor
<br /> with written notice of early termination no less than 90 days prior to the effective date of
<br /> the new Contract.
<br /> 4.0 Public Records. Section 12.0 is added to the Contract, as follows:

<br /> A. Access to Public Records
<br /> 1. If, under this Contract, the Contractor is providing services, the Department may
<br /> unilaterally cancel the Contract for refusal by the Contractor to allow access to all public
<br /> records, including documents, papers, letters, or other material made or received by the
