<br />amendment or termination due to lack of funds, reduction of funds, and/or change in regulations, <br />upon thirty (30) days written notice. <br /> <br />ARTICLE 10. <br /> <br />MATERIALITY AND WAIVER OF BREACH. <br /> <br />(a) City and Contractor agree that each requirement, duty, and obligation set forth in <br />these Contract Documents is substantial and important to the formation of this <br />Contract and, therefore, is a material term hereof; and <br /> <br />(b) City's failure to enforce any provision of this Contract shall not be deemed a waiver <br />of such provision or modification of this Contract. A waiver of any breach of a <br />provision of this Contract shall not be deemed a waiver of any subsequent breach and <br />shall not be construed to be a modification of the terms of this Contract. <br /> <br />ARTICLE 11. SEVERANCE. In the event a portion of this Contract is found by a <br />court of competent jurisdiction to be invalid, the remaining provisions shall continue to be <br />effective unless City or Contractor elects to terminate this Contract. An election to terminate this <br />Contract based upon this provision shall be made within seven (7) days after the finding by the <br />court becomes final. <br /> <br />ARTICLE 12. INDEPENDENT CONTRACTOR RELATIONSHIP. The contractor <br />is an independent contractor and shall be treated as such for all purposes. Nothing contained in <br />this Agreement or any action of the parties shall be construed to constitute or to render the <br />Contractor an employee, partner, agent, shareholder, officer or in any other capacity other than as <br />an independent contractor other than those obligations which have been or shall have been <br />undertaken by the City. Contractor shall be responsible for any and all of its own expenses in <br />performing its duties as contemplated under this Agreement. The City shall not be responsible <br />for any expense incurred by the Contractor. The City shall have no duty to withhold any Federal <br />income taxes or pay Social Security services and that such obligations shall be that of the <br />Contractor, other than those set forth in this Agreement. Contractor shall furnish its own <br />transportation, office and other supplies as it determines necessary in carrying out its duties <br />under this Agreement. <br /> <br />ARTICLE 13. OWNERSHIP OF DOCUMENTS AND EQUIPMENT. All documents <br />prepared by the Contractor pursuant to this Agreement and related Services to this Agreement <br />are intended and represented for the ownership of the City only. Any other use by Contractor or <br />other parties shall be approved in writing by the City. If requested, Contractor shall deliver the <br />documents to the City within fifteen (15) calendar days. <br /> <br />ARTICLE 14. DUTY TO INDEMNIFY. DEFEND AND HOLD HARMLESS. <br />Contractor agrees to indemnify and hold harmless, the City, its officers, agents, and employees <br />from, and against, any and all claims, actions, liabilities, losses and expenses including, but not <br />limited to, attorney's fees for personal, economic or bodily injury, wrongful death, loss of or <br />damage to property, at law or in equity, which may arise or may be alleged to have risen from <br />the negligent acts, errors, omissions or other wrongful conduct of the Contractor, agents or other <br />personal entity acting under Contractor's control in connection with the Contractor's <br />performance of Services pursuant to that Agreement and to that extent the Contractor shall pay <br /> <br />CIOll-027 Agreement <br /> <br />Page 3 <br /> <br />SIB <br />
