<br />ARTICLE 10. INVOICINGIPAYMENT
<br />
<br />Invoices and associated back-up documentation shall be submitted in duplicate by the Contractor
<br />to the City as follows:

<br />The City may at any time designate a different address and/or contact person by giving written
<br />notice to the other party.
<br />
<br />ARTICLE 11. INDEMNIFICATION AND INSURANCE
<br />
<br />In accordance with Chapter 725, Florida Statutes, the Contractor shall defend, indemnify and hold
<br />harmless the City and its officers, employees, agents and instrumentalities from any and all
<br />liability, losses or damages, in an amount not less than $1,000,000 per occurrence which shall
<br />include attorneys' fees and costs of defense, which the City or its officers, employees, agents or
<br />instrumentalities may incur as a result of claims, demands, suits, causes of actions or proceedings
<br />of any kind or nature arising out of, relating to or resulting from the performance of this
<br />Agreement by the Contractor or its employees, agents, servants, partners, or principals.
<br />Furthermore, the Contractor shall pay all claims and losses in an amount not less than $1,000,000
<br />per occurrence in connection therewith and shall investigate and defend all claims, suits or actions
<br />of any kind or nature in the name of the City, where applicable, including appellate proceedings,
<br />and shall pay all costs, judgments, and attorney's fees which may issue thereon.
<br />
<br />The Contractor expressly understands and agrees that any insurance protection required by this
<br />Agreement or otherwise provided by the Contractor shall cover the City, its officers, employees,
<br />agents and instrumentalities and shall include claims, or damages resulting from and/or caused by
<br />the negligence, recklessness or intentional wrongful misconduct of the indemnifying party and
<br />persons employed by or utilized by the indemnifying party in the performance of the contract.
<br />Such obligation to defend, indemnify and hold harmless shall continue notwithstanding any
<br />negligence or comparative negligence on the part of the City, including its officers, agents and
<br />employees, relating to such loss or damage and shall include all costs, expenses, and liabilities
<br />incurred by the City in connection with any such claim, suit, action or cause of action, including
<br />the investigation thereof and the defense of any action or proceeding brought thereon and any
<br />order, judgment or decree which may be entered in any such action or proceeding or as a result
<br />thereof. These provisions shall survive the expiration or termination of this Agreement. Nothing
<br />in this Agreement shall be construed to affect in any way the City's rights, privileges, and
<br />immunities as set forth in Florida Statutes Section 768.28.
<br />
<br />Upon City's notification, the Contractor shall furnish to the City Manager or his designee,
<br />Certificates of Insurance that indicate that insurance coverage has been obtained, which meets the
<br />requirements as outlined below:
