<br />I, ANDREW J. MANDELL, the Assistant Secretary of V ALLEY CREST LANDSCAPE
<br />DEVELOPMENT, INC., a California corporation, do hereby certify that on October 20, 2008,
<br />the following resolutions were adopted by unanimous consent of the Directors of
<br />V ALLEYCREST LANDSCAPE DEVELOPMENT, INC., in accordance with Article III,

<br />FURTHER RESOLVED, that the Board of Directors have authorized and they do

<br />Erika Geiger, Stephanie Graham, Lisa Griffiths, Louis Gutierrez, Brian Hogan,
<br />Judy Hogan, Gary Hoopengardner, Cindy James, Walter Johnson, Steve Koschak,
<br />Matilde Lavenant, Judith Leiby, Elina Luterstein, Cheryl Mathes, Eva Morrissey,
<br />Marie Moyer, Holly Rabbai, Eileen M. Saldivar, Glen Sharrar, Lois
<br />Shindelbower, Teresa Thomas, Jyssette Vargas, or any of them, to execute and
<br />deliver in the name of and for and on behalf of this Corporation, billings and
<br />releases;

<br />FURTHER RESOLVED, that the Secretary or Assistant Secretary of the
<br />Corporation is hereby authorized and directed to execute a Certificate of the
<br />Secretary certifying to the passage of these resolutions;

<br />FURTHER RESOLVED, that any and all firms, persons, corporations and other
<br />entities, including, without limiting effect, public entities, shall be entitled to rely
<br />on the authority of anyone of the foregoing persons to bind this corporation by
<br />the execution and the delivery of any such bids, bid bonds, contracts, contract
<br />bonds, and authorizations pertaining to contracts, liens and releases;
