<br />The purpose of this Section is to facilitate the implementation of cooperative efforts <br />between the Landlord and the Tenant and, except for the cooperation obligation set forth in this <br />Lease, nothing in this Lease shall be deemed to impose upon the Tenant any separate obligations <br />beyond those created by the other provisions of this Lease. <br /> <br />Section 13. Cooperation. Each Party hereby pledges to provide the other party with such <br />information and other support and cooperation as may be reasonably required by the other party <br />(i) to carry out the responsibilities set forth in this Lease, (ii) to keep the other party fully <br />informed of its activities pursuant to Article VI, (iii) to take such other steps as may reasonably <br />be required for the accomplishment of the Improvements, and (iv) to assist upon request from <br />Tenant to find Acceptable Vendors for the Premises, insofar as the Landlord provides non- <br />material support for such efforts and is not obligated to engage in any business activities related <br />to finding and securing an Acceptable Vendor. <br /> <br />ARTICLE VII <br />Acceptable Vendor <br /> <br />Section 1. Acceptable Vendor. Tenant acknowledges that it has limited experience in the <br />operations of restaurants and, therefore, agrees to retain an acceptable vendor (Acceptable <br />Vendor) to manage and operate the restaurant facilities and associated amenities to be located on <br />the Premises. At a minimum, an Acceptable Vendor must possess the following qualifications: <br /> <br />(a) The experience, qualifications, good reputation, financial resources, and adequate <br />personnel necessary for the proper management of the restaurant facilities as required <br />under this Lease. <br />(b) On-site management and/or administrative office within the Premises. <br />(c) No outstanding material violations of any federal, state or local law, regulation, code <br />or ordinance. <br />(d) It must not be owned, controlled or run by entities or individuals who have been <br />convicted or are presently under indictment, for felonies under the laws of any <br />foreign or domestic U.S. jurisdiction. <br />(e) Direct restaurant experience, as reasonably determined by Landlord, and a restaurant <br />concept for the restaurant facilities deemed to be high end. <br /> <br />(an "Acceptable Vendor"). <br /> <br />Section 2. A{Jproval of Acceptable Vendor. The Landlord and Tenant agree than an entity <br />shall not be automatically deemed to be an Acceptable Vendor if it satisfies the criteria in <br />Section VII(I) above. The consent of the Landlord is required before the Tenant enters into any <br />agreement with an entity deemed an Acceptable Vendor and Landlord shall receive copies of all <br />agreements (including any amendments) entered into with an Approved Vendor within five (5) <br />days of its execution. Consent by the Landlord shall not by unreasonably withheld if the <br />Acceptable Vendor meets the criteria in Section VII(1) and the agreements between the Tenant <br />and Acceptable Vendor(s) are in keeping with the intent and spirit of this Lease. The <br />requirement of approval of Acceptable Vendors is a reoccurring right that Landlord has during <br />the term of this Lease. No Acceptable Vendor shall operate on the Premises without written <br /> <br />14 <br />
