9. Subcontractor shall be solely responsible for the safety of its operations and <br /> its employees and subcontractors and shall take all reasonable safety precautions with respect <br /> to its work. Subcontractor shall comply with all safety policies and procedures initiated by <br /> Contractor for any Project, including Contractor's policy regarding drugs, alcohol, and <br /> controlled substances. Subcontractor shall comply with all applicable laws, ordinances, rules, <br /> regulations, and orders of any public authority for the safety of persons or property, including, <br /> but not limited to, the Federal Occupational Safety and Health Act ("OSHA"). Subcontractor <br /> shall immediately notify Contractor of any injury to any of Subcontractor's employees or <br /> subcontractors. Subcontractor shall require its personnel to attend any safety meetings <br /> Contractor may conduct and direct its subcontractors to attend. <br /> 10. Subcontractor shall not assign or transfer the performance of this Agreement, <br /> or any part hereof, without the prior written consent of Contractor. Subcontractor shall notify <br /> Contractor in writing of any assignment of amounts due Subcontractor, or to become due it, <br /> under this Agreement. Subcontractor agrees this Agreement shall be freely assignable by <br /> 4110 Contractor and agrees to perform or continue to perform Subcontractor's obligations <br /> hereunder for the assignee. In the event Subcontractor subcontracts any work or services <br /> required to be performed under this Agreement: (i) Subcontractor shall utilize a subcontract <br /> agreement in substantially the same form as this Agreement; (ii) Contractor and its affiliates <br /> shall be, and are hereby deemed to be, third-party beneficiaries of such subcontract <br /> agreement(s), and Contractor shall have the right, but not the obligation, to directly enforce <br /> the terms thereof. <br /> 11. SUBCONTRACTOR AGREES, TO THE FULLEST EXTENT PERMITTED BY <br /> LAW, TO INDEMNIFY, DEFEND, AND HOLD HARMLESS CONTRACTOR, CONTRACTOR'S <br /> AFFILIATES, THE GOVERNMENTAL ENTITY OR PROJECT OWNER UNDER THE PRIME <br /> CONTRACT, THE PRIME CONTRACTOR, TOGETHER WITH THEIR RESPECTIVE <br /> OWNERS, DIRECTORS, OFFICERS, MANAGERS, EMPLOYEES, AGENTS, <br /> SUBCONTRACTORS, INSURERS/UNDERWRITERS, SURETIES, SUBROGEES, AND <br /> 411 REPRESENTATIVES OF EACH (COLLECTIVELY THE "INDEMNITEES") FROM AND <br /> KDF Enterprises, LLC RFP Disaster Debris Management and Disposal Services 18-04-02 <br />
