17. Subcontractor shall submit all invoices and payment requires, together with haul <br /> or load tickets, within thirty (30) days from the date of issuance of any haul/load ticket or <br /> performance of work. Haul/load tickets submitted beyond such thirty (30) day time period are <br /> deemed forfeited by Subcontractor and will not be paid. All volume calculations for any work <br /> performed by Subcontractor, including debris site management work, shall be based on final, <br /> reconciled amounts of eligible debris or eligible items as calculated and approved by the <br /> appropriate governmental entity representative or by Contractor in its/their sole discretion. <br /> Subcontractor shall not be paid for work in connection with ineligible debris, ineligible items, <br /> or estimated debris volumes. Trucks or equipment designated for use under this Agreement <br /> shall not be used for any other work during Subcontractor's performance under this <br /> Agreement. Subcontractor shall not solicit or undertake work from any private citizen. Under <br /> no circumstances shall Subcontractor mix debris hauled for others with debris hauled under <br /> this Agreement. <br /> 18. Subcontractor shall perform its work so as not to interfere with other disaster <br /> response and recovery activities of local, state, and federal governments, agencies, or utilities. <br /> 19. At no time will Subcontractor or any of its subcontractors enter private <br /> property without a properly executed "Right of Entry"form approved by the governmental entity, <br /> project owner, or governmental entity/owner's agent. <br /> 20. Contractor shall retain 10% of each progress payment requested by <br /> Subcontractor and approved by Contractor. Subject to the condition precedent stated below, <br /> all amounts owed to Subcontractor are payable in current funds ten days after Contractor has <br /> received funds for same from the prime contractor. Notwithstanding any provisions herein to <br /> the contrary, it shall be an absolute condition precedent to any liability or obligation of <br /> Contractor to Subcontractor for payment of progress, final payment(s), or retainage for work <br /> performed by Subcontractor on any Project that Contractor be in receipt of full payment from <br /> the prime contractor for the work performed by Subcontractor. If Contractor has not been paid <br /> 4111 by the prime contractor, for whatever reason, Subcontractor agrees that Contractor shall not <br /> KDF Enterprises, LLC RFP Disaster Debris Management and Disposal Services 18-04-02 <br />
