EXEMPT CHARGES: City vehicles up to and including 3 (three) ton trucks shall be <br /> towed or serviced at to charge anywhere within Miami-Dade County, Broward County and Palm <br /> Beach County. The City will not be charged for any scrap or derelict vehicles disposed of by the <br /> tow company. Towing or servicing of City vehicles over 3 (three) tons shall be at the contract <br /> rates specified herein. Calls for towing City vehicles and busses shall be responded to within <br /> thirty minutes and subject to the performance fee mentioned. <br /> 6. NON CONSENT TOW RATES: Non Consent Tow Rates shall be in accordance with <br /> Miami-Dade County Maximum rates and will only be adjusted by County revisions to these <br /> rates. By signing this contract, the Contractor agrees to charge the rates specified herein. <br /> Contractors shall have contract rates posted in an area that will be plainly visible to the public <br /> (offices, waiting area, etc.). The rates and heading shall be posted wherever the contractor <br /> releases vehicles at the storage compound. <br /> 7. TERM: Subject to the provisions relating to the termination of this Agreement as set <br /> forth hereunder, the term of this Agreement shall commence upon the date the Agreement is <br /> signed by both parties and shall end three (3) years thereafter, with two (2) optional one (1) year <br /> renewal terms, for a maximum of five (5) years, unless terminated earlier by the City during the <br /> initial term or any optional renewal term. <br /> 8. TERMINATION: <br /> A. Termination for Cause. If, through any cause within the reasonable control the <br /> Contractor shall fail to fulfill in a timely manner or otherwise violate any of the covenants, <br /> agreements or stipulations material to this agreement, the City shall have the right to <br /> terminate the services then remaining to be performed. Prior to the exercise of its option to <br /> terminate for cause, the City shall notify the Contractor of its violation of the particular terms <br /> of the agreement and grant Contractor ten (10) days to cure such default. If the default <br /> remains uncured after ten (10) days the City may terminate this agreement. <br /> (i). In the event of termination, all finished and unfinished documents, data and other <br /> work product prepared by Contractor (and sub Contractor(s)) shall be delivered to the <br /> City and the City shall compensate the Contractor for all services satisfactorily performed <br /> prior to the date of termination, as provided in Paragraph 3 herein. <br /> (ii). Notwithstanding the foregoing, the Contractor shall not be relieved of liability to <br /> the City for damages sustained by it by virtue of a breach of the agreement by Contractor <br /> and the City may reasonably withhold payments to Contractor for the purposes of set-off <br /> until such time as the exact amount of damages due to the City from the Contractor is <br /> determined. <br /> B. Termination for Convenience of City.
