<br />City of Sunny Isles Beach |Request for Qualifications No. 20-07-01 10 <br /> <br />thirty (30) days written notice to Firm. In such an event, the City shall only be responsible <br />for the reasonable value of services performed prior to the effective date of termination. <br /> <br />2.4 TERM OF CONTRACT <br /> <br />The City anticipates awarding multiple continuing contract(s). The contract term will <br />continue for a period of five (5) years upon execution of the contract by both parties. <br /> <br /> 2.4.1 CONTRACT EXTENSION <br /> <br />In the event services are scheduled to end because of the expiration of the <br />contract, the firm shall continue the service upon the request of the City Manager, <br />solely for the purpose and to the extent necessary to complete any unfinished <br />tasks. Task orders issued during the contract term and not completed within that <br />time five (5) year period shall be completed by the Consultant within the time <br />specified in the task order. Each Task Order may provide that the successful <br />FIRM(s) is to achieve final completion within an agreed time period determined <br />and agreed upon by both parties from the date appearing in the Notice to Proceed <br />form for the specified Project. Therefore, the FIRM agrees to begin each Project <br />in conformity with the provisions set forth in the Task Order and to perform it with <br />all due diligence, so as to complete the entire work and Project by the time limits <br />set forth in the agreed Project Schedule for the specified Project. As to such a Task <br />Order that has deadlines, time will be of the essence unless stated otherwise. The <br />firm shall be compensated for the service at the rate in effect when this extension <br />clause is invoked by the City. <br /> <br />Upon ten (10) Calendar Days written notice to Firm, City may, without cause and <br />without prejudice to any other right or remedy, terminate the Agreement for City’s <br />convenience whenever City determines. Where the Agreement is terminated for <br />the convenience of City, the notice of termination to Firm must state that the <br />Contract is being terminated for the convenience of City, the effective date of the <br />termination and the extent of termination. Services will be paid for through date <br />of termination, and this shall mean payment for all completed tasks and payment <br />for uncompleted tasks based upon the percentage of completion of such <br />uncompleted tasks. Firm shall not be paid on account if loss of anticipated profits <br />or revenues or other economic loss arising out of or resulting from such <br />termination. <br /> <br /> <br /> <br /> <br />
