ITB 23-03-01 Sunny Isles Beach Central Island Area Drainage Improvement and <br />North Miami Beach Distribution System Watermain Replacements <br />accordance withthe Contract Documents.Any Work that may reasonably be inferred from the <br />specifications or plans as being required to produce the intended result shall be supplied whether <br />or not it is specifically called for. When words which have a well-known technical or trade meaning <br />are used to describe Work, materials, or equipment, such works shall be interpreted in <br />accordance with such meaning. Reference to standard specifications, manuals or codes of any <br />technical society, organization or associations, or to the code of any governmental authority whether <br />such reference be specific or implied, shall mean the latest standard specification, manual or <br />code in effect as of the Effective Date of this Agreement, except as may be otherwise specifically <br />stated. However, no provision of any referenced standard specification, manual or code (whether <br />or not specifically incorporated by reference in the Contract Documents) shall change the duties <br />and responsibilities of the CITY, the CONTRACTOR, or any of their agents or employees from <br />those set forth in the Contract Documents. <br />ARTICLE 5 – CONTRACT TIME <br />5.1 The CONTRACTOR recognizes that TIME IS OF THE ESSENCE. <br /> <br />5.2 The Work shall be substantially completed within ____ calendar days after the date when <br />the Contract Time commences to run as provided in the Notice to Proceed. <br /> <br />5.3 The Work shall be finally completed on the Final Completion Date and ready for final <br />payment in accordance with this Agreement within ____ calendar days after the date <br />when the Contract Time commences to run as provided in the Notice to Proceed. <br /> <br />5.4 The initial Contract Time shall commence upon date of Notice to Proceed by the CITY. <br />The CITY reserves the right to extend the Agreement, providing all terms conditions and <br />specifications remain the same, both parties agree to the extension, and such extension is <br />approved by the CITY. <br /> <br />5.5 In the event services are scheduled to end because of the expiration of this contract, the <br />CONTRACTOR shall continue the service upon the request of the CITY as authorized by the <br />awarding authority. The extension period shall not extend for more than ninety (90) days <br />beyond the expiration date of the existing Agreement. The CONTRACTOR shall be <br />compensated for the service at the rate in effect when this extension clause is invoked by <br />the CITY. <br />ARTICLE 6 – CONTRACT PRICE <br />6.1 CITY shall pay CONTRACTOR for performance of the Work in accordance with Article 7, <br />subject to additions and deletions by Change Order, as provided for in this Agreement. <br /> <br />The parties expressly agree that the Contract Price which shall not exceed the amount of <br />(INSERT WRITTEN DOLLAR AMT) ($__________) constitutes the total maximum <br />compensation payable to the CONTRACTOR for performing the Work, plus any Work done <br />pursuant to a Change Order. Contract Price is in accordance with the line item unit <br />prices listed in the Bid. Line items are based on a unit price cost multiplied by a defined <br />quantity. Any additional duties, responsibilities and obligations assigned to or undertaken <br />by CONTRACTOR shall be at CONTRACTOR’s expense without change to the Contract Price. <br />PAGE 7 OF 38 <br /> <br />
