C1314 -082 THIS SERVICE AGREEMENT ("hereinafter referred to as the "Agreement ") is made in duplicate, this [$ day of `.sa.y--� , 2014 by and between the CITY OF SUNNY ISLES BEACH, (hereinafter referred as to "City "), and X -CLEAN CORP., a corporation authorized to do business in the State of Florida (hereinafter referred to as "Contractor ") whose Federal I.D. # is Zo • 14111 (vS RECITALS WHEREAS, the City publicly advertised Invitation to Bid No. 14 -06 -01 for janitorial maintenance services for all City facilities, to provide the City with the requisite labor, supervision, materials, supplies, equipment, tools and expertise necessary to perform janitorial services at the City's Government Center, Pelican Community Park, Public Works modulator, public restrooms, and various other areas as more particularly described in Invitation to Bid No. 14- 06 -01; and WHEREAS, in response to Invitation to Bid No. 14- 06 -01, Contractor submitted a bid and was determined by the City staff to be the lowest responsible, responsive bidder; and WHEREAS, the City desires to award Bid No.: 14 -06 -01 to Contractor in an annual amount not to exceed One Hundred Seven Thousand One Hundred Fifty Two Dollars and Thirty Two Cents ($107,152.32) for both service and materials. NOW THEREFORE, in consideration of the foregoing and for the mutual covenants, representations and warranties and other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the parties agree as follows: 1.1 RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. 1.2 SERVICES. Contractor shall provide janitorial maintenance services for all City facilities, as more particularly described in the contract documents referenced in Bid No. 14 -06- 01, incorporated herein by reference. 1.3 TERM. Subject to the provisions relating to the termination of this Agreement as set forth hereunder, this Agreement shall be for an initial term of three (3) years from the Effective Date of this Agreement, with two (2) options to renew this Agreement for one (1) year each, subject to satisfactory performance of Services by Contractor. The Effective Date of this Agreement shall commence on the first calendar day of the month succeeding approval of this Agreement by the City Commission. 1.4 COMPENSATION. The Contractor agrees to provide the desired Services to the City in a total annual amount not to exceed One Hundred Seven Thousand One Hundred Fifty Two Exhibit "A"
