QS„NNY IgFlo x AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH AND JOHNSON CONTROLS, INC. l l)a FLO`S CONTRACT NO. 2024-3373 THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement") is made in duplicate, this ?,,,?APday of November, 2024, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City"), and JOHNSON CONTROLS, INC., a corporation authorized to do business in the State of Florida, whose Federal Employer Identification (FEI) No. is 39-0380010 (hereinafter referred to as "Contractor"). RECITALS WHEREAS, the City of Sunny Isles Beach is in need of a contractor to provide preventative maintenance and repair services to City's HVAC and lighting mechanical and control systems at the Government Center, including its Metasys Facility Management System, as more particularly set forth in Attachment "A" (hereinafter "Services"); and WHEREAS, Contractor is a certified and insured company with the necessary experience to provide the desired Services; and WHEREAS, the Services can only be procured from one source, the Contractor; and WHEREAS, pursuant to the City's procurement code provisions, Section 62-13(F), purchases of supplies, equipment, or services made fiom a sole source, are exempt from the City's bidding procedures; and WHEREAS, City Manager and the City's purchasing agent have determined, after conducting a good faith review of available sources, that there is only one source for the required Services capable of fulfilling the needs of the City; and WHEREAS, the City's purchasing agent has conducted negotiations, as to price and terms, with Contractor; and WHEREAS, the City wishes to contract with Contractor to provide the desired Services as more particularly described in Attachment "A" for Thirty -Three Thousand Two Hundred Forty - Eight Dollars and No Cents ($33,248.00) plus Twenty Thousand Seven Hundred Fifty -Two Dollars and No Cents ($20,752.00) for contingency, if necessary, resulting in a total not -to -exceed amount of Fifty -Four Thousand Dollars and No Cents ($54,000.00); NOW THEREFORE, in consideration of the foregoing and for the mutual covenants, representations and warranties set forth herein, and for other good and valuable consideration, the receipt and adequacy of which is hereby acknowledged, the Parties agree as follows: TERMS 1. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. 2. SERVICES. Contractor shall provide preventative maintenance and repair services to City's HVAC and lighting mechanical and control systems at the Government Center, including JOHNS ON CONTROLS, INC.
