First, this Agreement Between the City of Sunny Isles Beach and Academy Bus, LLC — Contract No. 2026-6189. B. Second, the terms and conditions of ITB No. FY23-029-1, entitled "Motor Coach Transportation Services" and the awarded Contract No. FY23-029 with Contractor. 3. SERVICES. Contractor shall provide the Services pursuant to the terms and conditions set forth in the Contract Documents. The Services shall be performed by Contractor to the full satisfaction of the City. Contractor agrees to have a qualified representative to audit and inspect the Services provided on a regular basis to ensure all Services are being performed in accordance with the City's needs and pursuant to the terms of this Agreement and shall report to the City accordingly. Contractor agrees to immediately inform the City via telephone and in writing of any problems that could cause damage to the City's property, improvements, and persons. Contractor will require its employees to perform their work in a manner befitting the type and scope of work to be performed. In the event that the Contractor fails to complete the Services pursuant to the terms of this contract and City must undertake the completion of performance of Services, Contractor agrees to indemnify the City for all costs incurred with respect to the completion of those Services and any damages the City may suffer as a result of the Contractor's failure to perform the Services. 4. TERM. Subject to the provisions relating to the termination of this Agreement as set forth hereunder, the term of this Agreement shall commence May 24, 2026, and shall terminate May 23, 2027. The terms of Section 11, entitled "Indemnification and Waiver of Liability," Section 18, entitled "Compliance with Law," and those specifically provided for in the Contract Documents, shall survive termination of this Agreement. 5. COMPENSATION. Contractor agrees to provide the Services at the rate of One Hundred Fifty Dollars ($150.00) per hour, up through and including September 30, 2026, and thereafter for the remainder of the Term at an adjusted hourly rate, commensurate with any hourly rate adjustment negotiated by Contractor and the School Board of Broward County pursuant to Contract No. FY23-029, but in no event exceeding an increase of three (3%), resulting in a total contract amount not to exceed One Hundred Thirty -Seven Thousand Eight Hundred Fifty Dollars and No Cents ($137,850.00). Payment to Contractor for all charges and tasks under this Agreement shall be in accordance with this Agreement and the Contract Documents and under the following conditions: A. Billing Time. All transportation services shall be paid for at an hourly rate, which hourly rate shall be determined to commence at the scheduled pick-up time, through the time of drop-off. For purposes of computing billing time, fractional parts of an hour may be rounded up to the nearest quarter hour. The Contractor may not request or charge a minimum rental time, except as otherwise provided for in Section 5(B) below. If the driver arrives early to pick up the assigned riders, the Contractor shall not bill the City for the amount of time from when the driver arrived until the scheduled pick-up time.
