<br />2. THE CONTRACT DOCUMENTS. The Contract Documents consist of this Agreement,
<br />as well as RFP No. 26-01-01, entitled "Professional Lobbying Services," appended hereto as
<br />Attachment "A," and Contractor's Response thereto, appended hereto as Attachment "B"
<br />(hereinafter referred to collectively as "Contract Documents"). In the event of any conflict between
<br />or among the contract documents or any ambiguity or missing specifications or instruction, the
<br />following priority is established:
<br />A. First, this Agreement — Contract No. 2026-264.
<br />B. Second, RFP No. 26-01-01, entitled "Professional Lobbying Services."
<br />C. Third, Contractor's Response to RFP No. 26-01-01.
<br />3. SERVICES. Contractor shall provide the Services pursuant to the terms and conditions
<br />set forth in the Contract Documents, including but not limited to, those listed in Section 3.1 of the
<br />RFP, as well as, identifying, developing, and representing legislative and funding priorities for the
<br />City at both the state and county levels, and serving as a consistent and effective primary point of
<br />contact between the City and elected officials, legislative staff, and agency representatives in both
<br />Tallahassee and Miami -Dade County. Contractor shall provide timely and frequent information
<br />to the City priorities and other issues and decisions at the State level that may affect the City, and
<br />shall always be available upon reasonable request to meet with the Commission, City staff, and
<br />others as specified to perform the responsibilities assigned. Contractor shall be required to attend
<br />meetings, represent the interests of the City, and act as liaison between the City and all branches,
<br />departments, and agencies of the state government, at any legislative committee meeting or
<br />meetings with the Governor, or department or state agencies, as well as regional agencies,
<br />universities, school boards and Miami -Dade County, if necessary, on matters under the scope of
<br />this Agreement.
<br />The Services shall be performed by Contractor to the full satisfaction of the City. In the event that
<br />the Contractor fails to complete the Services pursuant to the terms of this Agreement and City
<br />must undertake the completion of performance of Services, Contractor agrees to indemnify the
<br />City for all costs incurred with respect to the completion of those Services and any damages the
<br />City may suffer as a result of the Contractor's failure to perform the Services.
<br />4. TERM. Subject to the provisions relating to the termination ofthis Agreement as set forth
<br />herein, the initial term of this Agreement shall commence upon the execution of this Agreement by
<br />all Parties and shall terminate one (1) year thereafter. Prior to the expiration of the initial term, and
<br />any additional terms thereafter, the City shall have the option, at its sole discretion, to renew this
<br />Agreement for four (4) additional one-year renewal terms.
<br />The provisions of Sections 10 and 17 entitled "Indemnification and Waiver of Liability," and
<br />"Compliance with Law," respectively, shall survive termination of this Agreement.
<br />5. COMPENSATION. During the term of this Agreement, the City shall pay Contractor
<br />for Services performed under this Agreement an amount not to exceed Sixty Thousand Dollars
<br />and No Cents ($60,000.00). Payment to Contractor for all charges and Services under this
<br />Agreement shall be in accordance with the Contract Documents, under the following conditions:
<br />A. Disbursements. There are no reimbursable expenses associated with this
<br />Agreement..
