OP Z N AGREEMENT BETWEEN THE CITY OF SUNNY ISLES BEACH AND WITT O'BRIEN'S LLC k\:;;,":• CONTRACT NO. C1415-066 THIS CONTRACTUAL AGREEMENT(hereinafter referred to as the "Agreement") is . made in duplicate, this 1st day of July , 2015, by and between the CITY OF SUNNY ISLES BEACH, Florida, (hereinafter referred to as "City"), and WITT O'BRIEN'S LLC, a corporation authorized to do business in the State of Florida (hereinafter referred to as "Consultant") whose Federal I.D. # is 27-2783923 . RECITALS WHEREAS, City is in need of Consultant to provide disaster debris monitoring services to the City; and . WHEREAS, Consultant has expressed the ability and desire to provide these Services to the City pursuant to the pricing terms and conditions offered to the City of Pompano Beach Florida, via Request for Proposal ("RFP") No. E-67-14, as more fully described in the Consultant's Proposal, a copy of which is attached hereto as Attachment "A", and incorporated herein by reference; and WHEREAS, the parties wish to enter into this Agreement pursuant to the same pricing terms and conditions outlined in City of Pompano Beach, Florida RFP # E-67-14, as more particularly described in Attachment"A"; and NOW THEREFORE, in consideration of the promises and the mutual covenants herein name,the parties agree as follows: I. RECITALS. The Recitals set forth above are hereby incorporated into this Agreement and made a part hereof for reference. 2. THE CONTRACT DOCUMENTS. The Contract Documents consist of this Agreement, as well as the terms and conditions of City of Pompano Beach, Florida RFP No. E-67-14, which are incorporated herein and made a part hereof as Attachment "A" (hereinafter referred to as "Contract Documents"). - 3. SERVICES. Consultant shall provide the services pursuant to the terms and conditions set forth in RFP No. E-67-I4 to encompass oversight and management of debris recovery contractors, emergency planning, training and public assistance consulting services, as more particularly described in Attachment"A" (hereinafter referred to as"Services"). 4. TERM. Subject to the provisions relating to the termination of this Agreement as set forth hereunder,this Agreement shall commence upon execution of this Agreement by both parties and shall be for an initial term of(5) five years. 5. COMPENSATION. Consultant acknowledges that this is a contingent services contract and that no payments will be made or due from the City unless Consultant is specifically engaged by the City for a specific emergency. All payments to be made hereunder shall be paid in accordance with the Fee Schedule contained in Consultant's Response to RFP No. E-67-14, c1415-066 WITT O'BRIEN'S LLC
