All invoices and <br /> payments shall be for Services completed pursuant to this Agreement after submission of invoices <br /> to the City. All invoices shall be submitted in accordance with RFP No. E-67-14. <br /> The City will pay properly submitted invoices within thirty(30)days of receipt, for completed and <br /> accepted Services, unless the City notifies the Consultant in writing of the dispute, before the <br /> payment is due. The City's performance and obligation to pay under this Agreement is contingent <br /> upon an annual appropriation for its purpose by the City Commission. The Consultant shall make <br /> no other charges to the City for supplies, labor, taxes, licenses, permits, overhead or any other <br /> expenses or costs unless any such expense or cost is incurred by Consultant with the prior written <br /> approval of the City. If the City disputes any charges on the invoices,it may make payment of the <br /> uncontested amounts and withhold payment on the contested amounts until they are resolved by <br /> agreement with Consultant. There are no reimbursable expenses associated with this Agreement. <br /> 6. INSURANCE. Consultant shall, at its sole cost and expense, during the period of any <br /> work being performed under this Agreement, procure and maintain the following minimum <br /> insurance coverage to protect the City and Consultant against all loss, claims, damage and <br /> liabilities caused by Consultant, its agents or employees, as indicated below: <br /> • ❑ Comprehensive General Liability Insurance, including broad form <br /> contractual liability coverage for all operations, including, but not limited <br /> to, premises/operations, contractual insurance, broad form property <br /> damage, independent contractors, personal injury and property damage <br /> liability with minimum limits of Two Hundred Thousand Dollars <br /> ($200,000.00) per occurrence and Three Hundred Thousand Dollars <br /> ($300,000.00) aggregate. <br /> ❑ Worker's Compensation Insurance, as required by state law. <br /> ❑ Business Automobile Liability Insurance which shall include coverage for <br /> all owned, non-owned and hired vehicles for minimum limits of not less <br /> than Two Hundred Thousand Dollars (S200,000.00)per occurrence, Three <br /> Hundred Thousand Dollars($300,000.00)aggregate,for bodily injury(each <br /> person), bodily injury (each accident), property damage, bodily injury and <br /> property damage combined. <br /> ❑ Excess/Umbrella Liability Insurance including bodily injury and property <br /> damage combined, with limits of not less than Two Million Dollars <br /> ($2,000,000.00) each occurrence and Two Million Dollars($2,000,000.00) <br /> aggregate. <br /> • <br /> ❑ Professional Liability Insurance with limits of not less than One Million <br /> Dollars ($1,000,000.00) each occurrence and One Million Dollars <br /> (S2,000,000.00) aggregate <br /> C1415-056 WITT O'BRIEN'SLLC 2 <br />
