O } '3 \* CITY OF SUNNY ISLES BEACH AGREEMENT WITH PERKINS & WILL ARCHITECTS, INC. CONTRACT NO. C1415-087 THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement") is made in duplicate, this 21 day of August. 2015, by and between the CITY OF SUNNY ISLES BEACH. Florida. (hereinafter referred to as "City" or "Owner"), and PERKINS & WILL ARCHITECTS, INC, a corporation authorized to do business in the State of Florida (hereinafter referred to as "Architect") whose Federal I.D. # is 36-2690384 - ARTICLE I EXTENT OF AGREEMENT 1.1 Architect: The Architect shall perform its services consistent with the professional skill and care ordinarily provided by architects practicing-in the same or similar locality under the same or similar circumstances. The Architect shall perform its services as expeditiously as is consistent with such professional skill and care and the orderly progress of the Project. 1.2 The Contractor, the Owner, and the Architect shall work from the beginning of planning through final construction completion and shall be available thereafter should Additional Services be required. The Architect will provide leadership during the design phase, and the Contractor shall provide leadership on all matters relating to construction. The specific representatives of the Owner, Architect; and Contractor are shown in the attached Exhibit "A", which Exhibit "A" by reference and attachment hereto forms a part of this Agreement. 1.3 Extent of Agreement — This Agreement for professional services represents the entire Agreement between the Owner and the Architect. This Agreement shall not be superseded by any provisions of the documents for construction and may be amended only by written instrument signed by both the Owner and the Architect. 1.4 Definitions: Project: The Project is for Architectural Design Services for a New Facility at 18080 Collins Avenue; Sunny Isles Beach, Florida 33160. The Architect's Scope of Services consists of planning, design, and construction administration as identified in the Proposal submitted by Perkins & Will Architects Inc. in response to Request for Qualifications ("RFQ") No. 15-04- 01, consisting of four (4) pages and identified as Exhibit "G". In the event of a conflict or inconsistency between the Exhibit "G" RFP and this Agreement, the terms and conditions of this Agreement shall govern. Owner: The entity that will occupy, use and own the Project upon substantial completion is the City of Sunny Isles Beach.
