C1415-087 <br /> THIS CONTRACTUAL AGREEMENT (hereinafter referred to as the "Agreement") is made <br /> in duplicate, this 21 day of August. 2015, by and between the CITY OF SUNNY ISLES <br /> BEACH. Florida. (hereinafter referred to as "City" or "Owner"), and PERKINS & WILL <br /> ARCHITECTS, INC, a corporation authorized to do business in the State of Florida <br /> (hereinafter referred to as "Architect") whose Federal I.D. # is 36-2690384 <br /> - <br /> ARTICLE I <br /> EXTENT OF AGREEMENT <br /> 1.1 Architect: The Architect shall perform its services consistent with the professional skill <br /> and care ordinarily provided by architects practicing-in the same or similar locality under the <br /> same or similar circumstances. The Architect shall perform its services as expeditiously as is <br /> consistent with such professional skill and care and the orderly progress of the Project. <br /> 1.2 The Contractor, the Owner, and the Architect shall work from the beginning of planning <br /> through final construction completion and shall be available thereafter should Additional <br /> Services be required. The Architect will provide leadership during the design phase, and the <br /> Contractor shall provide leadership on all matters relating to construction. <br /> The specific representatives of the Owner, Architect; and Contractor are shown in the attached <br /> Exhibit "A", which Exhibit "A" by reference and attachment hereto forms a part of this <br /> Agreement. <br /> 1.3 Extent of Agreement — This Agreement for professional services represents the entire <br /> Agreement between the Owner and the Architect. This Agreement shall not be superseded by <br /> any provisions of the documents for construction and may be amended only by written <br /> instrument signed by both the Owner and the Architect. <br /> 1.4 Definitions: <br /> Project: The Project is for Architectural Design Services for a New Facility at 18080 Collins <br /> Avenue; Sunny Isles Beach, Florida 33160. The Architect's Scope of Services consists of <br /> planning, design, and construction administration as identified in the Proposal submitted by <br /> Perkins & Will Architects Inc. in response to Request for Qualifications ("RFQ") No. 15-04- <br /> 01, consisting of four (4) pages and identified as Exhibit "G". In the event of a conflict or <br /> inconsistency between the Exhibit "G" RFP and this Agreement, the terms and conditions of <br /> this Agreement shall govern. <br /> Owner: The entity that will occupy, use and own the Project upon substantial completion is <br /> the City of Sunny Isles Beach.
