In no event shall the failure of the City
or its designee to bring to the attention of the Contractor of such faults act as a
waiver or release the Contractor from responsibility or liability for such fault,
defect or non-conforming work.
13. ASSIGNMENTS, TRANSFERS, SUBCONTRACTING. The Contractor shall not
subcontract, assign or transfer any work under this agreement without the prior written consent
of the City. Each of the parties hereto hereby
knowingly, voluntarily and intentionally, waive the right which any may have to a jury trial in
respect of any action, proceeding, litigation or counterclaim based hereon or arising out of,
under, on or in connection with this agreement or any course of conduct, course of dealing,
statements (whether verbal or written) or actions of either party.
15. GOVERNING LAW, VENUE AND ATTORNEYS FEES. It is agreed that this
Agreement shall be governed by, construed and enforced in accordance with the laws of the State
of Florida. Venue for any legal proceeding shall be in Miami Dade County, Florida. In the
event it becomes necessary for the City to file a lawsuit to enforce any term or provision under
this Agreement and the City is the prevailing party then the City shall be entitled to its costs and
attorney's fees at the pretrial, trial and appellate levels.
16.
