<br />LEASE AGREEMENT
<br />(18080 Collins Avenue, Miami Beach, Florida)

<br />TillS LEASE AGREEMENT (herein referred to as the "Lease") is made and entered into
<br />as of July 8, 1997, by and between MITSUBISHI MOTOR SALES OF AMERICA, INC., a
<br />Califomia corporation ("Landlord"), and VALUE RENT-A-CAR, INC., a Florida corporation
<br />("Tenant").
<br />
<br />RECITALS
<br />
<br />A. Landlord is the owner of that certain real property corrunonly known as 18080 Collins
<br />A venue, Miami Beach, Florida, and as is more specifically described in Exhibit "A" attached hereto
<br />and incorporated herein by reference, together with all other, buildings, improvements, equipment
<br />and fixtures located on or attached to said real estate (collectively, the "Premises"). The Premises
<br />are leased subject to those matters set fonh on Schedule I to this Lease (the "Permitted
<br />Encumbrances").

<br />B. Tenant desires to lease the Premises from Landlord and Landlord desires to lease the
<br />Premises to Tenant on the terms set forth in this Lease.

<br />AGREEMENT
<br />
<br />NOW, THEREFORE, in consideration of the above recitals, the mutual covenants,
<br />agreements and promises contained herein, and other good and valuable consideration, the receipt,
<br />adequacy, and sufficiency of which are hereby acknowledged, Landlord and Tenant agree as follows:
<br />
<br />I. l&.m. Landlord hereby leases to Tenant and Tenant leases from Landlord the
<br />Premises upon the tenm and conditions set fonh below.
<br />
<br />2. ill. ThePremises shall be used and occupied by Tenant as a rental car facility or
<br />for any orher use permitted by applicable law, provided prior to changing the use of the Premises
<br />from a rental car facility or any other use previously approved by Landlord, Tenant shall obtain
<br />Landlord's prior written consent, which consent shall nOI be unreasonably withheld or delayed. In
<br />the event Landlord fails to grant or deny its consent within fifteen (15) calendar pays after receipt
<br />of writ1en request from Tenant, Landlord's approval shall be deemed to have been given [0 Tenant.
<br />Tenant shall not allow the Premises to be used for any unlawful purpose, nor shall Tenant use, or
<br />suffer, or cause, or maintain or pennit any nuisance in, on, or about the Premises, or any part thereof.
<br />Tenant shall not suffer, or cause, Or maintain or perriut the commission of any waste in, on, or about
<br />the Premises. Tenant shall (a) comply with all govemmental laws, rules, orders, ordinances,
<br />reguJalions, directives, judgments, decrees, injunctions, and all COvenants and restrictions of record,
<br />whether any of the foregoing are now or hereafter enacted and in force, including, without limitation,
<br />those with respect to Hazardous Substances (the "Regulations") applicable to the use, business
<br />operations, occupancy, maintenance, repair and restoration of [he Premises, and, e:J;cept for
