2. This Agreement is controlling with respect to the relationship between <br /> Contractor and Subcontractor. Subcontractor agrees to make the all provisions and obligations <br /> of this Agreement applicable, and enforce same against, all of its employees, subcontractors, <br /> suppliers, and any and all other entities with whom it does business in performing under this <br /> Agreement. Subcontractor is bound to the Contractor to the same extent Contractor is bound <br /> to the prime contractor with respect to Contractor's obligations, performance, and completion <br /> of the work. Subcontractor and its subcontractors have no rights under the subcontract <br /> between Contractor and the prime contractor. <br /> 3. The Subcontractor is in all respects an independent contractor. Nothing herein <br /> shall create, or be construed to create, between Contractor and Subcontractor an <br /> employer/employee or principal/agent relationship. Subcontractor shall have no right to <br /> obligate Contractor for work, performance, or payment of any kind to any third party. <br /> Contractor shall not instruct Subcontractor or its employees/subcontractors on the means, <br /> manner, or methods of performing or accomplishing Subcontractor's work, nor shall Contractor <br /> 1111 have the right to do so. Contractor is interested only in the results obtained under this <br /> Agreement. The means, manner, and methods of conducting Subcontractor's work are under <br /> the sole control of Subcontractor. Subcontractor shall have no authority to bind Contractor by <br /> any statement, representation, or promise of any kind. Subcontractor shall not interfere with <br /> Contractor's relationship with any governmental entity or project owner or any other entity or <br /> person. Subcontractor shall not deal directly with the prime contractor, governmental entity or <br /> project owner without prior authorization, in each instance, in writing from Contractor. Where <br /> applicable, Contractor and Subcontractor agree that Contractor shall be deemed a statutory <br /> employer in accordance with the provisions of the Louisiana Workers' Compensation Act. <br /> 4. Subcontractor has reviewed and inspected the work areas and the conditions <br /> affecting its work including those bearing upon collection, transportation, disposal of debris <br /> and other materials, ability to receive, stack, move, manage different types of debris, reduce <br /> the debris by any means, including burning, compaction or grinding (if applicable), availability <br /> of labor, roads, haul roads, debris staging areas uncertainties of weather, river stages, <br /> KDF Enterprises, LLC RFP Disaster Debris Management and Disposal Services 18-04-02 <br />
