<br />I. Litigation Statement
<br />Kimley-Horn and its subsidiaries have provided services in all fifty states and numerous countries. Because of the many and
<br />varied projects we have completed, we are subject to various legal proceedings from time to time and in the ordinary course
<br />of business. In the last five years, Kimley-Horn has had more than 14,000 active projects in Florida, 18 of which had some
<br />form of litigation. Of those, 3 were dismissed, 13 were settled, and 2 are pending. None of the pending matters, if decided
<br />against Kimley-Horn, would have a material impact on our financial statements or impair in any way our ability to serve our
<br />clients. Generally, these matters are covered by insurance, and we consider them to be without merit. No regulatory action
<br />has been filed against Kimley-Horn. From time to time, Kimley-Horn will file a lawsuit against a client for unpaid fees. We do
